Ovid Therapeutics Inc. said in a Form 8-K dated September 16, 2025 that it received a formal notification from The Nasdaq Stock Market LLC on September 11, 2025. The notice confirmed that the company has regained compliance with Nasdaq Listing Rule 5550(a)(2), which requires listed companies to maintain a minimum bid price of at least $1.00 per share. Nasdaq also said the matter is now closed.

The company filed the report under Item 8.01, Other Events. Jeffrey Rona, Chief Business and Financial Officer, signed it. The filing is brief. It does not give the share price, the date the bid price fell below $1.00, the date of any earlier deficiency letter, or the steps the company took to recover. It does not say whether a reverse stock split was used.

What the company is building

The annual report filed March 11, 2025 describes Ovid as a biopharmaceutical company developing small molecule medicines for brain conditions, aimed at neuronal hyperexcitability. The company says it has four clinical-stage drug development programs, including two that have advanced to late-stage trials. Its current clinical programs target drug-resistant epilepsies and psychosis associated with neuronal-synuclein diseases, which include Parkinson's disease and Lewy body dementia. The filing says several preclinical programs are expected to advance for other forms of psychosis and mood disorders.

The market figures in the filing are the company's own. It says epilepsy and antipsychotic therapies represent approximately $8 billion and $22 billion markets globally, and that epilepsy and psychiatric medicine companies have been acquired for values ranging from $2.6 billion to $14.6 billion. The filing says the FDA has encouraged developers to seek "basket labels" that cover more than one underlying disease. The filing presents that as a regulatory opening, and does not say whether any Ovid program would use it.

The filing also says that for the first time in 50 years, a therapeutic with a novel mechanism was approved in schizophrenia, in 2024. It estimates that about 50 million people worldwide live with epilepsy, including about three million adults and half a million children in the United States. It notes that more than 30 anti-seizure medications have been produced in the last 100 years, and that a substantial number of patients still experience breakthrough seizures.

The overview names no trial results or dates for the programs it describes. Readers have to rely on the company's description of the need and the opportunity.

The money and the listing

The notice gives no cash, loss or debt figures, and the business overview gives none either. The company does not say how much cash it had when the bid price was below $1.00, or how much it expects to spend on its late-stage work.

The company's own description of its strategy is that it wants to create stockholder value through milestones from its pipeline, strategic collaborations and partnerships. The filing does not name a collaborator or a milestone with a date, so that strategy is stated without a timeline.

The notice settles the listing question for now, but it does not show how long the shares were below $1.00 or whether they have stayed above it since.

The filing says several preclinical programs are anticipated to be advanced, but the overview gives no dates for trial starts, data or regulatory submissions.

Ovid's principal executive offices are at 441 Ninth Avenue in New York. Its common stock, par value $0.001 per share, trades on Nasdaq under the symbol OVID.
