- Outlook Therapeutics, Inc. Form 8-K filed February 18, 2026 (SEC EDGAR)

Outlook Therapeutics, Inc. (Nasdaq: OTLK) said it received a Nasdaq minimum bid price deficiency notice on February 18, 2026. The company disclosed the letter in a Form 8-K filed the same day under Item 3.01, the item that covers notices of delisting or failure to satisfy a continued listing rule. Nasdaq gives the company until August 17, 2026 to regain compliance. Lawrence A. Kenyon, Chief Financial Officer, signed the filing.
What Nasdaq told the company
The letter came from the Listing Qualifications Staff of The Nasdaq Stock Market LLC. It says the bid price of Outlook's common stock closed below $1.00 per share for 30 consecutive business days. That falls short of the minimum closing bid price required by Nasdaq Listing Rule 5550(a)(2) for continued listing.
The notice has no immediate effect on the listing of the common stock on the Nasdaq Capital Market. Under Nasdaq Listing Rule 5810(c)(3)(A), Outlook has 180 calendar days, until August 17, 2026 (the "Compliance Date"), to cure the problem. To regain compliance, the closing bid price must be at least $1.00 per share for a minimum of ten consecutive business days before the Compliance Date.
What happens if the stock does not recover
The filing lays out two paths. If the stock has not met the requirement by August 17, 2026, Outlook may be eligible for an additional 180-day period. To qualify, it must meet the continued listing requirement for market value of publicly held shares and all other initial listing standards except the bid price requirement. It must also give Nasdaq written notice that it intends to cure the deficiency during the second period, by effecting a reverse stock split if necessary. A reverse stock split combines existing shares into fewer shares to raise the per-share price.
If the Nasdaq Staff concludes that Outlook cannot cure the deficiency, or if the company is not eligible for the additional period and does not regain compliance by the Compliance Date, Nasdaq will notify the company in writing that its common stock is subject to delisting. Outlook could then appeal to a hearings panel. The company says there can be no assurance that such an appeal would succeed.
Outlook says it intends to actively monitor the closing bid price between now and the Compliance Date. It will also evaluate options to resolve the deficiency and regain compliance with the minimum bid price rule. The 8-K does not name any option it is considering.
About the company
Outlook describes itself in its annual report, filed December 19, 2025, as a biopharmaceutical company that has developed ONS-5010/LYTENAVA, which it calls the first ophthalmic formulation of bevacizumab approved by the European Commission and by the Medicines and Healthcare products Regulatory Agency in the United Kingdom for wet age-related macular degeneration, or wet AMD. Before those approvals, the report says, bevacizumab had been approved only for various forms of cancer.
The company launched directly in Germany and the United Kingdom in June 2025. Its Biologics License Application for the same use is under review at the U.S. Food and Drug Administration. The report says the product is manufactured in the United States and that the company may seek approval in other markets. The report also says there is substantial doubt about the company's ability to continue as a going concern, because its cash and cash equivalents will not fund planned operations for at least the next 12 months. Cash stood at $8.1 million as of September 30, 2025, and the company says it sold 10,227,166 shares under its BTIG ATM Agreement after that date for $14.9 million in net proceeds. It says that is still not enough to fund operations. It reported revenue of $1.4 million from LYTENAVA sales in Germany and the United Kingdom in fiscal 2025 and a net loss of $62.4 million for the year ended September 30, 2025.
