Outlook Therapeutics received a Nasdaq notice on Sept. 25 saying its stock has closed below the $1.00 minimum bid for 30 consecutive business days. The company disclosed the letter in an 8-K signed Sept. 30 under Item 3.01. It has until March 24, 2027 to fix the problem.
The notice cites Nasdaq Listing Rule 5550(a)(2). It has no immediate effect on the listing, and Outlook's common stock continues to trade on the Nasdaq Capital Market as OTLK.
The details
The 180-calendar-day grace period runs under Rule 5810(c)(3)(A). To regain compliance, the closing bid must be at least $1.00 for ten consecutive business days before the March 24 date. If the company is not compliant by then, it may qualify for a second 180 days, provided it meets the market value of publicly held shares requirement and all other initial listing standards except bid price, and it tells Nasdaq in writing that it intends to cure the deficiency, including by reverse split if necessary.
If Nasdaq staff concludes the company cannot cure the deficiency, or that it is ineligible for the extra time, the exchange will notify Outlook that its stock is subject to delisting. Outlook could appeal to a hearings panel, but the filing says there can be no assurance an appeal would succeed. The company said it intends to monitor the closing bid price until the compliance date and will evaluate options to regain compliance. It did not announce a reverse split.
Context
The notice comes weeks after the company said its product won approval. In its quarterly report for the period ended June 30, Outlook said the FDA approved LYTENAVA, its ophthalmic bevacizumab for wet age-related macular degeneration, with the company's own announcement dated July 24, 2026. The same filing says the FDA had issued a third complete response letter on Dec. 31, 2025, after which the company pursued formal dispute resolution. On Sept. 16, Outlook set the U.S. wholesale acquisition cost for LYTENAVA at $485 per vial.
The money side is tighter. The 10-Q reports cash and cash equivalents of $11,242,068 as of June 30, 2026. The net loss was $20,319,272 for the three months ended June 30 and $47,830,487 for the nine months. In the going-concern note, the company says "there is substantial doubt about the Company's ability to continue as a going concern." The 10-Q also reports a subsequent event: on Aug. 12 Outlook priced a public offering of 55,555,556 shares and accompanying warrants at a combined $0.99, which closed Aug. 14, with estimated net proceeds of about $51.1 million. Even counting those proceeds, the 10-Q says the company does not believe its cash is sufficient to fund operations through one year from the date of the report, and that more financing is needed to fund operations and commercialize LYTENAVA.
What it means for investors
The notice came after the FDA approval that followed three complete response letters, and the stock still closed under $1.00 for 30 straight business days. The filings do not say why, and this story does not guess.
The company said it intends to use the August offering proceeds, together with its cash, for the U.S. launch of LYTENAVA and working capital, and the 10-Q still carries a going-concern warning. The 8-K says only that Outlook will monitor the bid price and evaluate available options. It did not announce a reverse split. The notice is not a delisting determination: it gives the company until March 24, 2027, with a possible second 180-day period.
A cure needs the closing bid to be at least $1.00 for ten consecutive business days before the compliance date.
What to watch
The next dated item is the March 24, 2027 compliance date. Before then, watch for a proxy proposal authorizing a reverse split, any new financing disclosed in an 8-K, and any early sales data for LYTENAVA now that the company has set a $485-per-vial wholesale acquisition cost.
