OSR Health, Inc. issued a clarification on August 7, 2026 about a press release it issued on July 31, 2026 concerning Nasdaq and its Shareholder Loyalty CVR Program. The company said that a sentence in the earlier release, which described a communication as affirming that the loyalty program is additive and gives shareholders clarity, should not be interpreted as meaning that Nasdaq has approved or endorsed the program. The clarification was issued as Exhibit 99.1 to a Form 8-K.

According to the clarification, the earlier Nasdaq communication was a preliminary, verbal indication. It was limited to a technical question: whether the program would result in a mechanical adjustment to the price of OSRH common stock, such as an ex-date adjustment. Beyond that point, the company said, Nasdaq has not expressed any definitive opinion about the program.

The record date

The company said the clarification does not change its previously announced record date of August 14, 2026 for the Shareholder Loyalty CVR Program. Program details, eligibility and enrollment information remain available on the company's loyalty program page on its website, which the release lists as osr-health.com/loyaltyprogram. The company said it will update shareholders as matters progress.

What the regulatory process covers

The release's forward-looking statements list several open items. They include the outcome and timing of the company's pending request to the Securities and Exchange Commission for no-action relief, Nasdaq's ultimate position on the program, the satisfaction of the program's holding-period and price conditions, and the company's continued listing on Nasdaq. The release says actual results may differ materially. It also says that the company is subject to its own regulatory and securities-law processes, which are described in its SEC filings.

The company and its business

OSR Health describes itself as a global healthcare holding company dedicated to advancing biomedical innovations in health and wellness. Through its subsidiaries, the company says, it engages in immuno-oncology, regenerative biologics and medical device technologies. Its annual report for 2025, filed March 31, 2026, describes the company as a holding company with operations in South Korea and Switzerland and an office in the United States, and says it aims to identify, lead and support subsidiaries built on innovative research.

The annual report lists three subsidiaries, two of which have their own drug development pipelines. One is developing oral T-cell immunotherapies based on a live attenuated bacterial vaccine strain. Another is developing a design-augmented recombinant biologic for bone and cartilage regeneration. The third makes neurovascular surgical devices. The report says that as of December 31, 2025, the portfolio included 10 patent families of issued patents and pending applications, with anticipated expirations between 2032 and 2041.

Financial position

SEC XBRL data show revenue of $2.9 million for fiscal 2025, compared with $3.5 million for fiscal 2024. Research and development expense was $318,446 in 2025 and $161,155 in 2024. Cash from operations was negative $4.3 million in 2025 and negative $1.8 million in 2024. The fiscal 2024 net loss was $2.4 million, and year-end 2024 cash and cash equivalents were $341,543.

The risks ahead

The company still has no definitive view from Nasdaq on the loyalty program. Its own release says Nasdaq gave only a preliminary, verbal indication on a technical price question. The release lists open items it calls risks: the outcome and timing of the pending SEC no-action request, Nasdaq's ultimate position, the program's holding-period and price conditions, and continued listing on Nasdaq. The clarification gives no date for any of them. On the financial side, cash from operations was negative $4.3 million in 2025 and revenue fell to $2.9 million from $3.5 million. The company says it will update shareholders as matters progress.
