OSR Health, Inc. said in a press release dated April 29, 2026, and filed as Exhibit 99.1 to an 8-K on April 30, 2026, that it signed a definitive global exclusive license agreement with BCM Europe AG for the development, commercialization and potential sublicensing of VXM01. The company describes VXM01 as its Phase 3-ready oral immunotherapy targeting VEGFR-2. The agreement builds on a binding term sheet the company had previously disclosed.
The company said it is to receive up to $815 million in milestone payments tied to clinical, regulatory and commercial achievements. It also said it will acquire the full VXM01 intellectual property from Vaximm AG under a $30 million asset purchase agreement. Under the terms described in the release, the company would receive 100% of downstream royalties after BCM Europe recovers its investment and a preferred return. The agreement is governed by Swiss law, in the Canton of Basel.
Collateral and approvals
BCM Europe and its affiliates pledged their entire unencumbered shareholding in the company as collateral for the performance of the milestone payment obligations of up to $815 million. The release puts that stake at approximately 29.7% as of the signing date. The company said the pledge is designed to provide assurance of BCM Europe's financial commitments, to align the largest shareholder's economic interests with those of public shareholders, and to support milestone performance.
BCM Europe is the company's largest shareholder, so the agreement is a related party transaction. The board approved it, including the independent directors, after considering an independent fairness opinion from Avance Life Sciences. The release says BCM Europe will run a sublicensing process.
The put option
The agreement also includes a put option under which the company may require BCM Europe to buy up to $15 million of OSRH common stock at $10.00 per share. The put may be exercised no earlier than six months after the agreement's effective date. The company describes the option as additional capital flexibility.
About VXM01
The release describes VXM01 as a clinical-stage oral immunotherapy targeting VEGFR-2, designed to induce a targeted immune response against tumor vasculature and to modulate the tumor microenvironment. It says the program has shown encouraging clinical activity and immune activation in studies in glioblastoma and pancreatic cancer. Vaximm AG, a subsidiary, is developing it.
The company and its business
In this release the company is named OSR Holdings, Inc. It describes itself as a global healthcare holding company with operations in South Korea and Switzerland and an office in the United States. Its annual report for 2025, filed March 31, 2026, says it intends to identify, lead and support subsidiaries built around innovative research. The report lists three subsidiaries, two with drug development pipelines, one in oral T-cell immunotherapies and one in a design-augmented recombinant biologic for bone and cartilage regeneration. The third makes neurovascular surgical devices.
Financial position
SEC XBRL data show revenue of $2.9 million for fiscal 2025, compared with $3.5 million for fiscal 2024. Research and development expense was $318,446 in 2025 and $161,155 in 2024. Cash from operations was negative $4.3 million in 2025 and negative $1.8 million in 2024. The fiscal 2024 net loss was $2.4 million, and year-end 2024 cash and cash equivalents were $341,543.
What the release leaves out
The $815 million is a ceiling, not a payment. The release gives no schedule, no split among clinical, regulatory and commercial milestones, and no upfront figure, so it does not show how much cash OSR Health receives soon. The company owes Vaximm $30 million for the assets. The payer and the pledged collateral both sit with the largest shareholder, and the collateral is shares of OSR Health itself.
The science rests on the company's wording. The release calls the clinical activity "encouraging" but gives no response rates, patient numbers or survival data from glioblastoma or pancreatic cancer, and no date for a sublicense or a first milestone. The put option is the only near-term money named. It is optional, capped at $15 million and cannot be used for six months, while 2025 cash from operations was negative $4.3 million.
