OSR Health, Inc. said in a Form 8-K that the Nasdaq Hearings Panel has scheduled the company's hearing for September 29, 2026, at 10:00 a.m. Eastern Time. The filing is dated August 28, 2026, and reports the information under Item 8.01, other events. The company was notified of the hearing date on August 27, 2026.

The company said it submitted its hearing request on August 25, 2026. The request appeals the Nasdaq staff's delisting determination and asks the Panel for continued listing of the company's securities on Nasdaq. The 8-K does not restate the reasons the staff gave for its determination, so the reasons should be read from the company's earlier release on the matter.

Trading suspension and what the Panel process means

The company said the timely hearing request did not stop the suspension of trading in its securities. That suspension took effect at the opening of business on August 26, 2026. The request did stay the filing of a Form 25-NSE, the step that would lead to the formal delisting of the company's securities from Nasdaq, pending the Panel's decision. In other words, the securities are suspended from trading, but the formal delisting has not yet been processed.

The company said it is preparing its presentation to the Panel. It said it intends to present a comprehensive plan to regain and sustain compliance with Nasdaq's continued listing requirements, and that it intends to advocate for continued listing on Nasdaq. The filing also says there can be no assurance that the Panel will grant the request, that the Panel will accept any compliance plan, or that the company will regain compliance with Nasdaq's listing requirements.

The company and its business

OSR Health describes itself as a global healthcare holding company with operations in South Korea and Switzerland and an office in the United States. Its annual report for 2025, filed March 31, 2026, says the company intends to lead and support subsidiaries built around innovative research, and that it hopes to acquire or license existing assets from industry or academia for those subsidiaries. The report says the company aims to attract co-investors and licensing partners, and that it hopes to realize liquidity over time through the sale of subsidiaries.

Three subsidiaries make up the current portfolio, according to the report. Two of them have their own drug development pipelines. One is developing oral T-cell immunotherapies built on a live attenuated bacterial vaccine strain. Another is developing a design-augmented recombinant biologic for bone and cartilage regeneration. The third makes neurovascular surgical devices. The report says the subsidiaries' patent portfolio included 10 patent families of issued patents and pending applications as of December 31, 2025, with expirations expected between 2032 and 2041.

Financial position

SEC XBRL data drawn from the annual report show revenue of $2.9 million for fiscal 2025, compared with $3.5 million for fiscal 2024. Research and development expense was $318,446 in 2025 and $161,155 in 2024. Cash from operations was negative $4.3 million in 2025 and negative $1.8 million in 2024. The fiscal 2024 net loss was $2.4 million, and year-end 2024 cash and cash equivalents were $341,543.

For 2025, the year-end cash and cash equivalents figure is $1.7 million, according to a 10-Q filed August 14, 2026. The same data set reports $1.5 million of cash and cash equivalents at June 30, 2026, from the 10-Q.

The risks ahead

The company's securities stay suspended from trading until the Panel decides, and the filing says there can be no assurance that the Panel will grant the request, accept any compliance plan, or that the company will regain compliance. The Form 25-NSE, which would lead to formal delisting, remains stayed for now. The hearing is on September 29, 2026, and the company says it will present a plan to regain and sustain compliance. The financial record does not help the case: cash from operations was negative $4.3 million in 2025, cash and cash equivalents were $1.5 million at June 30, 2026, and revenue fell to $2.9 million from $3.5 million.
