OSR Health, Inc. reported that its chief scientific officer, Dr. Constance Hoefer, has resigned and that the resignation took effect immediately. The company made the disclosure in a Form 8-K dated October 2, 2026, under Item 5.02, the item that covers departures of directors and certain officers. According to the filing, Dr. Hoefer provided notice of her resignation on September 30, 2026. The company states that the resignation was not the result of any dispute or disagreement with the company on any matter relating to its operations, policies or practices. The report is signed by Kuk Hyoun Hwang, the company's chief executive officer.

What the filing does and does not say

The filing is brief. It does not name a successor or an interim chief scientific officer, and it does not describe any payment, severance or other arrangement with Dr. Hoefer.

The company and its model

OSR Health describes itself as a global healthcare holding company with operations in South Korea and Switzerland and an office in the United States. In its annual report for 2025, filed March 31, 2026, the company says it intends to identify, lead and support subsidiaries and subsidiary candidates built around innovative research. Those candidates may be companies that already exist or new companies formed to acquire or license assets from industry or academia.

The report calls the structure a hub-and-spoke business model. A centralized executive team works with each subsidiary's management to keep programs and corporate goals aligned, and the company encourages its subsidiaries to share knowledge. It also says the company hopes to realize additional liquidity through the sale of subsidiaries from time to time.

The subsidiary portfolio

The annual report lists three subsidiaries and says two of them have their own drug development pipelines. One works on oral T-cell immunotherapies based on a live attenuated bacterial vaccine strain, genetically modified to develop and elicit a patient's cytotoxic T-cells against pre-defined targets. A second is building a design-augmented recombinant biologic intended for bone and cartilage regeneration. The third makes neurovascular surgical devices. The report says that spreading the work across several programs reduces the risks of relying on a single asset.

On patents, the report says that as of December 31, 2025, the subsidiaries' portfolio included 10 patent families of issued patents and pending applications. Those applications are pending in jurisdictions including the United States, Europe, Japan, India and China, with anticipated expirations between 2032 and 2041, before any patent term adjustments or extensions. Seven patent families had been issued to date for the subsidiary companies.

Financial position

Figures from the company's SEC XBRL data show revenue of $2.9 million for fiscal 2025, compared with $3.5 million for fiscal 2024. Research and development expense was $318,446 in 2025 and $161,155 in 2024. Cash from operations was negative $4.3 million in 2025 and negative $1.8 million in 2024. The fiscal 2024 net loss was $2.4 million. Year-end 2025 cash and cash equivalents were $1.7 million, according to a 10-Q filed August 14, 2026, and the company reports $1.5 million of cash and cash equivalents at June 30, 2026, from its 10-Q.

The risks ahead

The filing names no successor or interim chief scientific officer and gives no timetable, so the research role is open for now. The annual report says the company expects to bring in co-investors or licensing partners and may raise money directly from private, strategic or public investors, which means funding is still ahead of it. Cash from operations was negative $4.3 million in 2025, while cash and cash equivalents were $1.5 million at June 30, 2026, and revenue fell to $2.9 million from $3.5 million. The company also says it hopes to realize liquidity by selling subsidiaries. Any news on research leadership would come in a later 8-K or periodic report.
