Oncotelic Therapeutics, Inc. (OTCQB: OTLC) reported financial results for the fiscal year ended December 31, 2025 in a press release dated April 16, 2026, filed as Exhibit 99.1 to a Form 8-K. The company reported net income after tax of approximately $249.0 million, compared with a net loss of approximately $4.8 million in the prior year. It said the result was driven mainly by a non-cash increase of approximately $365.4 million in the estimated fair value of its investment in GMP Biotechnology Limited, its joint venture. A deferred income tax provision of approximately $111.6 million partly offset that gain. The company recorded no product revenue in either year.
The joint venture valuation
The company recorded the increase in November 2025, based on an independent third-party valuation. That raised the carrying value of the investment to approximately $388.0 million. The release says the increase "does not represent product revenue or cash received," and that it reflects estimated development progress and market-based assumptions.
Operating results
General and administrative expense was $3,182,242 for 2025, compared with $376,013 for 2024. The release attributes the increase of approximately $2.8 million mainly to stock-based compensation of approximately $2.4 million, for common and preferred stock issued for services, and to approximately $0.2 million spent to settle litigation with a former employee. A loss on conversion of debt of approximately $1.0 million also weighed on results, partly offset by a favorable change in the value of derivatives on debt of approximately $0.6 million. The company reported net income attributable to Oncotelic Therapeutics, Inc. of $249,279,832, or $0.59 per basic share, compared with a loss of $0.01 per share in 2024.
The joint venture pipeline
The release describes the joint venture's programs in detail. The JV is advancing six candidates: Sapu-001 (paclitaxel), Sapu-003 (everolimus), Sapu-004 (carboplatin), Sapu-005 (palbociclib) and Sapu-006 (docetaxel), in addition to OT-101. Everolimus formulation development is complete, and a global clinical trial is enrolling participants in Australia. The company expects investigational new drug applications for palbociclib and docetaxel in 2026. The Deciparticle platform uses ultra-small amphiphilic constructs below about 20 nanometers, and the release says it is protected by more than 15 patent families.
On OT-101, the company says it completed a Phase 1 trial with IL-2 in Seoul, South Korea, in March 2025 with no unexpected safety signals. The JV has initiated a Phase 2/3 trial for OT-101 in pancreatic cancer, and it is actively enrolling participants. Two subsidiaries of GMP Bio, Sapu Bio and Sapu Nano, were formalized during 2025. The company holds 45% equity interests in both.
Financial position
The XBRL data attached to the company's filings show research and development expense of $4,357 for fiscal 2025 and cash from operations of negative $1.4 million for the same year. For fiscal 2024 they show cash from operations of negative $740,277 and a net loss of $4.5 million. They also show cash and cash equivalents of $409,000 at September 30, 2025, from a 10-Q.
The release states that operational costs for OT-101 and the nanoparticle platform are substantially covered by the JV, which the company says significantly reduces its direct financial burden until it decides to start developing its own compounds.
What the profit does and does not mean
The $249.0 million is an accounting entry, not money. It comes from a valuation of a private joint venture that sells no product, and the company itself says the increase does not represent cash received. The company's cash was $409,000 at September 30, 2025, it used $1.4 million in operating cash, and its general and administrative costs rose to $3,182,242. The science is early: the Phase 1 trial reported no unexpected safety signals but the release gives no efficacy data, and the OT-101 Phase 2/3 pancreatic trial is only enrolling. The release gives no dated milestone for the company itself beyond the 2026 IND filings.
