Onconetix, Inc. has provided a bridge financing facility of up to $5,000,000 to Realbotix LLC, the target of its pending acquisition. The company announced the facility in a press release dated September 14, 2026, and reported the initial advance of $2,500,000 the same day. The facility supports Realbotix's growth and working capital needs while the two companies work toward closing the acquisition.
The terms
The facility is non-interest bearing before the closing of the Share Exchange Agreement between the two companies. The company says that, at closing, the facility and all obligations under it will be automatically cancelled and discharged in full. The cash required at closing will also be reduced by the total principal advanced under the facility plus an additional $500,000.
If the Share Exchange Agreement is terminated, interest accrues at 12% per annum from the date of termination.
The acquisition
Onconetix entered into the Share Exchange Agreement on February 12, 2026, to acquire 100% of the issued and outstanding equity interests of Realbotix LLC in an all-stock transaction. The release says the combined company is expected to trade on Nasdaq after closing. Closing is subject to Onconetix shareholder approval, required regulatory approvals and other conditions.
The release says Onconetix intends to file a Registration Statement on Form S-4 to register the common stock it would issue in the transaction. That registration statement would include a proxy statement and prospectus of Onconetix, which would be sent to its stockholders to seek approval of the transaction once the registration statement is declared effective.
Realbotix LLC is a wholly owned subsidiary of Realbotix Corp. (TSX-V: XBOT). The release describes Realbotix LLC as a developer of AI-powered humanoid robots designed for human interaction across enterprise and consumer environments.
The company
The company's annual report on Form 10-K, filed March 13, 2026, describes Onconetix as a commercial stage biotechnology company focused on the research, development and commercialization of innovative solutions for men's health and oncology. Its main product is Proclarix, an in vitro diagnostic test for prostate cancer that was originally developed by Proteomedix and is approved for sale in the European Union under the In Vitro Diagnostic Regulation.
The annual report also says the company abandoned commercialization of ENTADFI, an FDA-approved once daily pill for the treatment of BPH, and no longer holds remaining inventory of the product as of December 31, 2025. It says the ENTADFI assets were fully impaired as of June 30, 2024.
Recent financial data
The XBRL data that accompanies the company's filings states the following figures. For the fiscal year ended December 31, 2025, the company reported revenue of $815,371 and a net loss of $14.0 million, with cash from operations of negative $9.7 million. For the fiscal year ended December 31, 2024, it reported revenue of $2.5 million, a net loss of $58.7 million and cash from operations of negative $10.5 million. The XBRL data says the 2024 research and development expense was $154,359.
The XBRL data also states that cash and cash equivalents were $5.9 million at June 30, 2026, according to the quarterly report. The annual report says the company will continue to require significant additional capital to commercialize Proclarix and to fund operations.
The risks ahead
Closing still needs Onconetix shareholder approval, regulatory approvals and other conditions, and the release gives no date. The release lists failure to win that approval and the risk to Onconetix's continued Nasdaq listing until closing as risks. If the deal is terminated, the bridge note starts to bear 12% interest. The facility is up to $5,000,000 against cash and cash equivalents of $5.9 million at June 30, 2026, so the loan to the target commits a large share of the cash the XBRL data shows, with no repayment unless the deal fails. The company is a biotech that has abandoned ENTADFI and is buying a humanoid-robot business in an all-stock deal. The annual report says the company will keep needing significant additional capital for Proclarix, and the XBRL data shows a net loss of $14.0 million and cash from operations of negative $9.7 million for 2025, with revenue of $815,371.
