Ocugen, Inc. said it received written notice from Nasdaq on July 28, 2025 that it has regained compliance with the minimum bid price rule. The notice says the stock closed at or above $1.00 a share for ten consecutive business days, from July 8 through July 25, 2025, and that the matter is now closed. The company reported the notice in an 8-K filed July 29, 2025.

What the rule required

Nasdaq Listing Rule 5550(a)(2) requires a closing bid price of at least $1.00 a share for companies on The Nasdaq Capital Market. The problem began on December 31, 2024, when Nasdaq told Ocugen that its closing bid had been below $1.00 for the last 30 consecutive business days. The company then had 180 days, until June 30, 2025, to show compliance.

The company asked for more time. On July 1, 2025, it received formal notice that Nasdaq had granted an extension through December 29, 2025. The regained compliance came inside that extension. The 8-K does not say what drove the stock back above $1.00, and it does not mention a reverse stock split or any financing.

Why the warning matters

A bid price deficiency is a warning that a stock has traded below Nasdaq's minimum for too long. If it is not cured, it can lead to delisting. The notice closes this matter, but the stock had been under the threshold for the 30 business days Nasdaq cited, and the 8-K says nothing about the share price after July 25, 2025.

The business behind the stock

The company's 10-K for 2024, filed March 5, 2025, describes Ocugen as a biotechnology company developing novel gene and cell therapies, biologics and vaccines. Its lead is OCU400, a gene therapy for retinitis pigmentosa, which is in a Phase 3 trial called liMeliGhT. The report says enrollment was on track to finish in the first half of 2025.

The report points to positive two-year safety and efficacy data from the OCU400 Phase 1/2 trial, announced in January 2025. Those data come from an earlier-stage study, and the report describes them in the company's own terms rather than giving trial figures. The report also cites positive preliminary efficacy and safety data from the Phase 1 portion of the OCU410 trial in geographic atrophy, an advanced form of dry macular degeneration. The report itself uses the word preliminary for those results.

In February 2025, the report says, the European Commission received a positive opinion from a European Medicines Agency committee on classifying OCU400 as an advanced therapy medicinal product. That is a regulatory classification, not a clinical finding. The company also dosed the first patient in a Phase 1 trial of OCU200, a fusion protein that the company says may treat vascular complications of diabetic macular edema, diabetic retinopathy and wet age-related macular degeneration, in January 2025.

The report also describes NeoCart, a cell therapy for knee cartilage defects. The company says it has FDA concurrence on a confirmatory Phase 3 trial design for NeoCart, and that it has renovated a facility into a current Good Manufacturing Practice site to support clinical study and initial commercial launch. It also says it intends to start that Phase 3 trial "contingent on adequate availability of funding."

What the notice leaves out

The 8-K gives no Ocugen cash balance, net loss or financing plans. The notice therefore says nothing about whether the company can fund the programs it describes.

The 8-K gives no later milestones. The Phase 3 enrollment target in the business section was for the first half of 2025, and that date had passed when the 8-K was filed. The filing does not say whether it was met.
