Nuo Therapeutics, Inc. received $325,000 in its second funding under an amended and restated loan and security agreement dated May 29, 2026, according to a Form 8-K. The company said it has now received $2,000,000 from the lenders under the loan agreement, in line with the total funding commitment it disclosed earlier.
The funding was first scheduled for September 30, 2026. A consent and extension moved the closing to October 9, 2026. A later amendment, effective October 6, 2026, moved the closing to that day, when the funding closed. The amendment also allowed a lender to assign a $100,000 part of its commitment to three new lenders. The filing does not name those three lenders.
Scott M. Pittman, a member of the board of directors and a beneficial owner of more than 10% of the common stock, assumed $25,000 of the assigned commitment. He had loaned $200,000 at the initial funding on January 23, 2026, and $100,000 at the interim funding on May 29, 2026. With the additional $25,000, his second funding total is $125,000.
Each second note bears interest at 12% per year and matures December 31, 2028. Interest is payable in warrants. The company issued warrants for 18,000 shares that are immediately exercisable to the assuming lenders. It also agreed to issue interest warrants for up to 11,000 shares at maturity or on earlier prepayment.
The filing names no placement agent or advisor. It does not say how the company will use the funds.
