What closed
NRx Pharmaceuticals, Inc. said it completed its acquisition of Dura Medical, LLC, a Florida limited liability company, on September 8, 2025. The purchase was made principally through the company's subsidiary, HOPE Therapeutics, Inc. NRx reported the closing in a Form 8-K filed September 12, 2025, under Item 2.01 for completion of an acquisition, and in a press release the company furnished as Exhibit 99.1.
Dura Medical runs interventional psychiatry clinics in Naples and Ft. Meyers, Florida. The closing followed final regulatory clearance from Florida's Agency for Health Care Administration. The filing says HOPE anticipates building a network of first-in-class clinics nationwide.
The consideration
The purchase agreement is dated March 29, 2025. It was made among several NRx subsidiaries, Dura Medical, LLC and Stephen Durand, CRNA, APRN. Under it, NRx bought all of the outstanding membership interests in Dura Medical.
The price is a mix of four elements: cash, membership interests in HTX Management Company LLC, contingent earn-out payments based on future performance metrics, and post-closing adjustments. An earn-out is a later payment that depends on the business meeting targets after the sale. The HTX interests can be converted into shares of HOPE Therapeutics on a one-for-one basis, at the holder's discretion. Holders of the HTX interests could therefore end up holding HOPE shares, though the 8-K does not say who received them or how many were issued.
The 8-K gives no dollar figure for the cash, for the value of the HTX interests or for the maximum earn-out. It does not report Dura Medical's revenue, losses or patient volume.
Terms and approvals
The agreement includes customary representations and warranties and indemnification provisions. It also contains non-competition and non-solicitation clauses. The boards of NRx and its subsidiaries, and the board of managers of Dura Medical, approved it.
The 8-K says its description is not complete and refers to the full agreement, which was filed as Exhibit 10.7 to NRx's quarterly report on Form 10-Q for the period ended March 31, 2025. The 8-K does not restate those terms in full. The press release and the 8-K are furnished rather than filed, and the company says they are therefore not subject to the liabilities of Section 18 of the Securities Exchange Act of 1934.
The financing behind the deal
The annual report for 2024, filed March 14, 2025, describes NRx as a clinical-stage company with two lead drug candidates. It says management's plan is to move NRx from a pre-revenue biotechnology company into a revenue-generating enterprise through HOPE. HOPE was incorporated in February 2024 as a medical care delivery organization. The report says its clinics would serve patients with suicidal depression, PTSD and other serious central nervous system disorders.
The annual report also said management was negotiating with a publicly traded strategic investor and several commercial lenders to fund further clinic acquisitions. It said management believed the company would have sufficient financing for previously announced acquisitions, assuming the proposed financings were completed. It described an earlier $8.5 million closed in January 2025, in a combination of convertible debt and an above-market common stock and warrant offering.
The 8-K does not say how the cash part of the Dura price was funded, or whether the strategic investor or any lender has committed money.
What the filing leaves open
The 8-K is a completion notice, and it reports no results for Dura Medical or HOPE. It gives no timetable for the nationwide network the company describes. The cash cost of the deal and the size of the earn-out payments remain unquantified in the filing, so a reader cannot tell from it how large the commitment is.
