Neumora Therapeutics, Inc. (Nasdaq: NMRA) received written notice from Nasdaq on May 14, 2025 that it does not meet the $1.00 minimum bid price requirement for The Nasdaq Global Select Market under Listing Rule 5450(a)(1).
A bid price deficiency means a stock's closing bid price has stayed below $1.00 for too long. The notice does not delist the shares right away.
Under Listing Rule 5810(c)(3)(A), Neumora has 180 calendar days, or until November 10, 2025, to regain compliance. Its stock must close at or above $1.00 per share for at least ten consecutive business days during that time. If it misses the date, the company may get more time by applying to move to The Nasdaq Capital Market and meeting that market's other listing standards.
Neumora said it intends to monitor its share price and consider options, "including effecting a reverse stock split of its common stock." A reverse split combines existing shares into fewer shares, which raises the price of each one. The board has approved a split at a ratio between 1-for-5 and 1-for-30, subject to a stockholder vote at the annual meeting on May 28, 2025, according to the company's filing.
The company said there is no assurance stockholders will approve the split or that it will regain compliance.
