NeOnc Technologies Holdings, Inc. said on July 29, 2025 that it signed a definitive agreement for a $50 million strategic partnership with Quazar Investment.
Under the agreement, Quazar intends to lead a capital formation round of up to $50 million, priced at $25 per share. The structure allocates 70% of proceeds to buying NeOnc common stock and 30% to launching clinical trials and building infrastructure across the UAE and the wider MENA region. Executive Chairman Amir Heshmatpour said Quazar will acquire 1.4 million shares at $25 per share, a $35 million anchor position to be held in custody at Morgan Stanley. The remaining $15 million is earmarked for Phase 2B trials and infrastructure.
NeOnc must meet the remaining conditions within 120 days, including the legal formation of NuroMENA and NuroCure in Abu Dhabi, and the closing remains subject to those conditions and the successful completion of the capital formation process, according to the July release.
In its second quarter results released on Aug. 19, 2025, NeOnc said all contingencies with Quazar were finalized after NuroMENA Holdings was incorporated under Abu Dhabi Global Market. It still lists the closing and funding of the transaction as a near-term step.
