Natera, Inc. (Nasdaq: NTRA) closed its acquisition of Foresight Diagnostics Inc. on December 4, 2025 and agreed to issue 1,127,982 shares of its common stock to Foresight's stockholders as consideration. The company reported the unregistered share issuance in a Form 8-K filed December 5, 2025. Foresight is a privately held cancer diagnostics company.

What the filing says

Natera bought Foresight under an Agreement and Plan of Merger dated October 10, 2025. The parties are Natera, Falcon Acquisition Sub, Inc., a wholly owned Natera subsidiary, Foresight and Fortis Advisors, LLC. The filing describes Foresight as a Clinical Laboratory Improvement Amendments-registered laboratory that specializes in molecular residual disease detection in B-cell lymphomas.

As consideration, Natera agreed to issue the 1,127,982 shares, which the filing calls the Consideration Shares. It also estimates that 824,583 additional shares may become issuable to Foresight's stockholders after closing. The filing calls these the Potentially Issuable Shares and says they cover four things: shares held in escrow that may be released, shares tied to milestone payments, shares tied to post-closing purchase price adjustments, and shares issuable under a formula in the merger agreement, called Price Protection Shares.

An estimate, not a fixed number

Natera says the 824,583 figure is a good faith estimate of the shares issuable within the next three years. It is not a prediction of how many will ultimately be issued. The actual number depends on post-closing purchase price adjustments, how many escrowed shares are released, the future trading price of Natera common stock, the prices and volumes at which Foresight's stockholders resell shares during the price protection period, and whether milestones are achieved.

The deal value

The press release gives the dollar terms. It describes an all-stock transaction with a $275 million upfront payment and an additional $175 million in earnouts tied to revenue- and reimbursement-based milestones. An earnout is extra consideration paid only if the targets are met.

Chief executive officer Steve Chapman said in the release: "This acquisition reinforces Natera's position at the forefront of precision oncology." Jake Chabon, Ph.D., Foresight's chief scientific officer and chief executive officer, is also quoted. Gibson, Dunn & Crutcher LLP is legal counsel to Natera. Wilson Sonsini Goodrich & Rosati is legal counsel to Foresight, and Centerview Partners LLC is Foresight's financial advisor.

How the shares are issued

The shares are not initially registered under the Securities Act of 1933 or any state securities laws. Natera relies on the exemption in Section 4(a)(2) for a transaction by an issuer not involving a public offering, based in part on representations by Foresight's stockholders in the merger agreement. In connection with the closing, the company also intends to file an automatically effective registration statement on Form S-3 to register the Consideration Shares and the Potentially Issuable Shares for resale.

About the companies

The press release says Foresight's circulating tumor DNA tests use its patented PhasED-Seq technology, which targets phased variants. Foresight was founded by Stanford University physicians and scientists Maximilian Diehn, M.D., Ph.D., Ash Alizadeh, M.D., Ph.D., and David Kurtz, M.D., Ph.D., together with Chabon. Natera says the deal expands its lymphoma work and its patent portfolio, and that an enhanced version of its Signatera platform with phased variants is expected to launch for clinical use in 2026.

Natera's annual report on Form 10-K for 2024 describes a diagnostics company built on cell-free DNA technology, with products in women's health, oncology and organ health. It reports revenues of $1,696.9 million in 2024 and a net loss of $190.4 million, down from $434.8 million in 2023. Chief Financial Officer Michael Brophy signed the 8-K.
