Genprex, Inc. (Nasdaq: GNPX) disclosed on July 30, 2026 that the Nasdaq Hearings Panel had granted its request for an exception to continue the listing of its common stock on The Nasdaq Capital Market. The panel's decision, dated July 29, 2026, is tied to the minimum bid price requirement in Nasdaq Listing Rule 5550(a)(2). The Form 8-K also includes an updated risk factor section about the listing matter.

How the exception works

The matter began with a letter from the Listing Qualifications Staff of Nasdaq dated June 10, 2026. The staff said the company had not met the $1.00 bid price requirement and was not eligible for a 180 calendar day compliance period. The staff had determined to delist the stock unless the company requested a hearing. Genprex requested one, and the panel held it on July 21, 2026. At that hearing the company asked for more time to show compliance, and the panel granted the exception on July 29, 2026.

Under the exception, the company had to demonstrate compliance with the bid price requirement on or before July 29, 2026. After that, it must keep a closing bid price at or above $1.00 for each trading day until December 7, 2026. The panel has said that date represents the full extent of its discretion on this requirement. The panel will also keep jurisdiction over the company until that date, and it may impose a discretionary Panel Monitor once the company regains compliance.

Risk and reporting obligations

Genprex must notify the panel promptly of significant events that could affect its compliance with Nasdaq requirements, including any event that could call into question its ability to meet the terms of the exception. The panel has reserved the right to reconsider the exception if conditions develop that would make continued listing inadvisable. The filing says there can be no assurance the company will satisfy the exception's terms or maintain compliance for the full period.

The updated risk factors supplement the annual report on Form 10-K filed March 30, 2026 and the quarterly report on Form 10-Q for the quarter ended March 31, 2026, which was filed May 13, 2026. They warn that if Genprex fails to regain or maintain compliance, its common stock may be delisted, and that the stock price and access to capital markets could be negatively affected. The company said it intends to keep monitoring its closing bid price and to take definitive steps to regain and maintain compliance.

Business and financial position

The 10-K business section says the company is enrolling and treating patients in the Phase 2a expansion portion of the Acclaim-1 trial. That trial combines REQORSA with AstraZeneca's Tagrisso (osimertinib) for late-stage non-small cell lung cancer with activating EGFR mutations. The recommended Phase 2 dose is 0.12 mg/kg every 21 days. The Acclaim-3 trial, which combines REQORSA with Genentech's Tecentriq (atezolizumab) as maintenance therapy for extensive stage small cell lung cancer, is enrolling in its Phase 2 expansion portion. A third trial, Acclaim-2 with Keytruda, was closed to new patients after the company cited enrollment challenges and delays. Acclaim-1 has shown no pivotal result: in its Phase 1 portion, three of twelve patients had prolonged progression-free survival, and two of those three later progressed.

For the fiscal year ended December 31, 2025, the XBRL data show research and development expense of $9.4 million and a net loss of $16.2 million. For 2024, the comparable figures were $10.5 million and $21.1 million. Cash from operations was negative $15.3 million in 2025 and negative $17.9 million in 2024.

What comes next

The exception runs to December 7, 2026. During that period the company must keep the bid price above the threshold each day and report significant events to the panel. Nasdaq staff had already determined to delist the stock unless the company requested a hearing. The filing does not state how compliance was reached or any other dates. The company reported no revenue for 2024, a net loss of $16.2 million for 2025 and cash from operations of negative $15.3 million.
