Tickers SGMOQ
Nasdaq signed the Form 25 itself on October 6, 2026, and the form gives no reason. Sangamo's latest annual report warned it might cease operations, liquidate or seek bankruptcy protection.

What Nasdaq filed
The Nasdaq Stock Market LLC has filed a Form 25 with the Securities and Exchange Commission to remove the common stock of Sangamo Therapeutics, Inc. from listing and registration under Section 12(b) of the Securities Exchange Act of 1934. The filing names Sangamo as the issuer under Commission File Number 000-30171 and Nasdaq Stock Market LLC as the exchange. It gives the issuer's address as 501 Canal Boulevard in Richmond, California. The SEC record shows it filed on October 7, 2026.
The signature block carries the date 2026-10-06. It is signed on behalf of Nasdaq Stock Market LLC by Aravind Menon, whose title is Hearings Advisor. In the certification, Nasdaq states that it has reasonable grounds to believe it meets all of the requirements for filing the Form 25. The certification is the exchange's own, not Sangamo's.
The form lists the rule provisions a filer can rely on to strike a class of securities from listing: 17 CFR 240.12d2-2(a)(1) through (a)(4), 12d2-2(b) and 12d2-2(c). Under paragraph (b), the form says "the Exchange has complied with its rules to strike the class of securities from listing and/or withdraw registration on the Exchange." Paragraph (c) covers an issuer that has complied with exchange rules governing voluntary withdrawal. The form text gives no reason for the removal and does not state the date it takes effect.
What Sangamo's own annual report said
The filing does not link the notice to any event. In its Form 10-K filed March 30, 2026, Sangamo wrote about its need for substantial additional financing and its ability to continue as a going concern. It said that at any time it may elect, or may be required, to cease operations entirely, liquidate all or a portion of its assets, or seek protection under the U.S. Bankruptcy Code in the very near term.
The annual report lists the potential for isaralgagene civaparvovec to obtain Accelerated Approval from the U.S. Food and Drug Administration, and it names the adequacy of data from the Phase 1/2 STAAR study as a question that bears on any such approval. It refers to a rolling Biologics License Application for that product and to additional data needed to support completing the submission. The report also says the company is trying to secure one or more commercialization partners for its Fabry disease program. It is seeking new collaborations for its STAC-BBB capsid, its epigenetic regulation capabilities and its hemophilia A program. The filing treats these as aims, not completed deals.
Sangamo describes itself as using gene therapy and gene editing technologies, built on a zinc finger technology platform and zinc finger transcriptional regulators, which include zinc finger repressors. The annual report names license agreements with Genentech, Inc., a member of the Roche group, Alexion Pharmaceuticals, Inc., Astellas Gene Therapies, Inc., and Eli Lilly and Company. Under those licenses the company could receive milestone payments and additional fees and royalties, which depend on the licensees completing clinical development, regulatory interactions, manufacturing and commercialization.
The numbers behind the notice
The company's SEC financial data show how thin its cash was against its spending. For the fiscal year ended December 31, 2025, Sangamo reported a net loss of $122.9 million, compared with a net loss of $97.9 million for 2024. Research and development expense was $112.7 million, against $111.5 million a year earlier.
The company used $97.2 million in operations in 2025, up from $67.1 million used in 2024. Cash and cash equivalents stood at $20.9 million at the end of 2025, down from $41.9 million at the end of 2024. In its quarterly report for the period ended March 31, 2026, the company reported cash and cash equivalents of $27.6 million.
A Form 25 filed by an exchange is a step in ending a security's listing and registration. Nasdaq's notice does not say whether Sangamo contested the removal, or what happens to the common stock once the form takes effect.
