Aditxt, Inc. (ADTX) filed a Form 8-K on September 23, 2026 that attaches a Nasdaq announcement dated September 17, 2026. In that announcement, the Nasdaq Stock Market said it will delist the common stock of Aditxt. Nasdaq said it will file a Form 25 with the Securities and Exchange Commission to complete the delisting. The delisting becomes effective ten days after the Form 25 is filed.
The delisting notice
The Nasdaq announcement says Aditxt's common stock was suspended on June 25, 2026, and that it has not traded on Nasdaq since that date. The announcement is headed as a delisting of securities of Aditxt from The Nasdaq Stock Market.
The notice does not give the basis for the delisting. It points readers to the company's public filings for the basis of the delisting and for news about whether the common stock is trading on another venue. It also says readers may contact the company directly. Nasdaq's rules governing delisting are set out in the Nasdaq Rule 5800 Series, which the announcement links to.
The company
The company's annual report filed March 31, 2026 says Aditxt was incorporated in Delaware on September 28, 2017, and that its headquarters are in Mountain View, California. The company describes itself as an organization that evaluates and develops health innovations, with a stated focus on bringing new approaches to people who need them.
The first innovation the company took on was an immune modulation technology called ADI, or Adimune. Its subsidiary Adimune, Inc. was formed in January 2023 to lead the company's immune modulation therapeutic programs. The lead product candidate, ADI-100, is designed to tolerize against an antigen known as glutamic acid decarboxylase, which the filing links to type 1 diabetes, psoriasis and autoimmune diseases of the central nervous system.
The annual report says all preclinical studies for ADI-100 are complete. It describes studies in skin grafting, psoriasis and type 1 diabetes models, and says the company has clinical-grade drug substance manufactured by a qualified contract manufacturer. Adimune has held pre-submission meetings with a regulatory agency in Germany and has completed the additional studies that agency requested. The company also engaged a contract research organization to manage planned clinical studies in Germany.
In May 2023, Adimune entered into a clinical trial agreement with the Mayo Clinic to advance studies in Stiff Person Syndrome. The filing says a human trial for that condition is expected to begin in 2026, with enrollment of 10-20 patients, pending approval from the International Review Board and the U.S. Food and Drug Administration. The annual report also says Adimune is awaiting a pre-IND meeting that it expected in the second quarter of 2026.
Financial position
The company's SEC XBRL financial data draws on the annual report filed March 31, 2026. For the fiscal year ended December 31, 2025, it reports revenue of $3,195, compared with $133,985 for 2024. Research and development expense was $3.2 million for 2025 and $10.9 million for 2024.
The data reports a net income (loss) of negative $43.1 million for 2025 and negative $40.4 million for 2024. Cash from operations was negative $25.7 million for 2025 and negative $16.8 million for 2024. Year-end cash and cash equivalents were reported as $3.2 million for 2025, in a 10-Q filed May 20, 2026, and as $833,031 for 2024, in a 10-Q filed May 15, 2025.
What the delisting leaves behind
The stock has not traded on Nasdaq since June 25, 2026, and the announcement gives no date for the Form 25 and no word on any other venue. Delisting can make it harder to raise money, and Aditxt has little to raise it with: cash and cash equivalents were $268,852 at March 31, 2026, in the 10-Q, against $25.7 million of cash used in operations in 2025. The pipeline is also early. The annual report lists a pre-IND meeting, expected in the second quarter of 2026, and a Stiff Person Syndrome trial that is expected to begin in 2026 pending approval from the International Review Board and the FDA, so the annual report describes the human trial of ADI-100 as not yet begun. The filing does not say how the delisting will affect those plans.
