Abpro Holdings, Inc. (ABPO) said that on May 28, 2026 it received written notification from the Nasdaq Listing and Hearing Review Council that the council had reviewed a Nasdaq Hearings Panel decision and reaffirmed it. The panel's decision is that the company's securities will be delisted from Nasdaq. The company disclosed the notice in an 8-K dated June 4, 2026 under Item 3.01, which covers notices of delisting or failure to satisfy a continued listing rule.
Why the panel acted
The 8-K says the panel's November 10, 2025 decision required the company to demonstrate compliance with the minimum equity standard under Nasdaq Listing Rule 5550(b)(1) by February 16, 2026. The company had not met the terms of that decision, so the council reaffirmed the panel's decision to delist.
The company's 10-K describes the background. Its common stock began trading on the Nasdaq Global Market on November 14, 2024, after the merger with Atlantic Coastal Acquisition Corp. II closed on November 13, 2024. The 10-K says that, because of numerous Nasdaq continued listing non-compliance matters, the company received notice of delisting effective February 23, 2026. It appealed the Nasdaq delisting determination on March 18, 2026.
Where the shares will trade
The company expects that Nasdaq may file a Form 25 with the SEC to delist its securities and deregister them under Section 12(b) of the Securities Exchange Act of 1934, as amended, in the coming days. The filing refers to the suspension of trading on Nasdaq that would precede that quotation.
After that, the company expects its common stock to remain eligible for quotation on the OTC Pink Market under its existing symbol, ABP. Its public warrants are expected to stay quoted under the symbol ABPWW. The company says it can provide no assurances that any broker-dealer will make a market in its common stock or public warrants, or that trading levels, liquidity or quotation prices will be maintained.
The company also warns that trading on the OTC Pink Market may be subject to limited availability of information, reduced transparency and liquidity, and greater volatility.
The company
Abpro Holdings describes itself as a biotechnology company developing next-generation antibody therapeutics for severe and life-threatening diseases. Its work is focused on novel antibodies from its proprietary discovery and engineering platforms, primarily in immuno-oncology, ophthalmology and infectious disease.
The two lead candidates are ABP-102 and ABP-201, both built on its TetraBi antibody format. ABP-102 is designed to engage T cells through HER2 and CD3 and is developed with Celltrion Inc. (KRX:068270) under a collaboration agreement entered into in September 2022. On January 6, 2026, the company and Celltrion were notified that the FDA had cleared the investigational new drug application for ABP-102 / CT-P72. ABP-201 targets VEGF and ANG-2 for wet age-related macular degeneration and is developed through a territorial partnership with Abpro Bio, a subsidiary of Abpro Bio Co. Ltd (KOSDAQ:195990).
The company's common stock was adjusted for a one-for-thirty (1:30) reverse stock split that took effect October 31, 2025. Trading on a split-adjusted basis began November 3, 2025.
Financial position
The XBRL data show revenue of $183,000 for 2024. Research and development expense was $989,000 for 2025 and $3.0 million for 2024. Cash from operations was negative $6.0 million in 2025 and negative $9.0 million in 2024. Year-end cash and cash equivalents were $2.9 million for 2024, according to the 10-K filed April 15, 2025.
What the loss of the listing means
The company failed to cure an equity shortfall by the panel's February 16, 2026 deadline, and the council upheld the delisting despite its appeal. On the OTC Pink market the company itself warns of limited information, reduced transparency and greater volatility, and offers no assurance that any broker-dealer will make a market. The business behind the shares is thin: revenue was $183,000 in 2024, operating cash used was $6.0 million in 2025, and the lead candidate has only cleared an IND for a Phase 1 trial. The filing does not say whether the company will try to regain a Nasdaq listing.
