MetaVia Inc. said it received a letter on May 29, 2025 from the Listing Qualifications Department of The Nasdaq Stock Market LLC.
The letter said the closing bid price of MetaVia's common stock had been below $1.00 per share for the prior 30 consecutive business days. As a result, the company does not comply with the minimum bid price requirement for continued listing on The Nasdaq Capital Market under Nasdaq Marketplace Rule 5550(a)(2). A bid price deficiency does not delist a stock right away. It gives the company a set period to lift the price.
Under Nasdaq Marketplace Rule 5810(c)(3)(A), MetaVia has 180 calendar days from May 29, 2025, or until November 25, 2025, to regain compliance. It needs a closing bid price of at least $1.00 per share for a minimum of 10 consecutive business days before that date. Nasdaq may extend the number of days.
If MetaVia misses the deadline, it may be eligible for additional time. It would have to meet the market value of publicly held shares requirement and the other initial listing standards, except the bid price rule. It would also need to give written notice that it intends to cure the deficiency, by a reverse stock split if necessary.
The company said it intends to keep monitoring its closing bid price between now and November 25, 2025 and will consider available options to resolve the deficiency. If it does not regain compliance, MetaVia could appeal a delisting determination to a Nasdaq hearings panel.
