MetaVia Inc. (Nasdaq: MTVA) has received a 180-day extension from Nasdaq to regain compliance with the Nasdaq minimum bid price requirement. The company disclosed in a Form 8-K filed November 26, 2025 that Nasdaq granted the extension to May 26, 2026.
What the filing says
On May 29, 2025, MetaVia received a letter from the Listing Qualifications Department of the Nasdaq Stock Market. It said the closing bid price of the common stock had been below $1.00 for 30 consecutive trading days, so the company was not in compliance with the minimum bid price requirement for continued listing on the Nasdaq Capital Market, set out in Nasdaq Listing Rule 5550(a)(2).
Under Nasdaq Listing Rule 5810(c)(3)(A), the company had 180 calendar days from May 29, 2025, or until November 25, 2025, to regain compliance. On November 7, 2025, MetaVia asked Nasdaq for a 180-day extension. On November 26, 2025, it received a letter from Nasdaq saying the extension had been granted, to May 26, 2026.
What MetaVia told Nasdaq
In its request, MetaVia told Nasdaq it had demonstrated more than $5 million in stockholders' equity as of September 30, 2025. It also gave notice that it intends to cure the deficiency by effecting a reverse stock split, if necessary, in time to show a closing bid price of at least $1.00 per share for a minimum of ten consecutive business days before the extended period ends.
MetaVia's stockholders approved the needed authority on June 30, 2025. They approved an amendment to the company's Third Amended and Restated Certificate of Incorporation, as amended, that allows a reverse split at a ratio between 1-for-5 to 1-for-30. Whether to carry out a split is for the Board of Directors.
The company's plan and the risk
MetaVia says it will keep monitoring the closing bid price until May 26, 2026 and consider options, including a reverse stock split. If it misses the deadline, Nasdaq will give notice that the common stock will be subject to delisting, and the company could appeal to a Nasdaq hearings panel. MetaVia states that there can be no assurance it will regain compliance with the minimum bid price requirement during the 180-day extension period or maintain compliance with the other Nasdaq listing requirements.
About the company
MetaVia describes itself in its annual report filed March 20, 2025 as a clinical-stage biotechnology company focused primarily on developing novel pharmaceuticals to treat cardiometabolic diseases. It has two programs, aimed at metabolic dysfunction-associated steatohepatitis (MASH) and obesity.
The first program, DA-1241, is a novel G-Protein-Coupled Receptor 119 agonist that could be developed alone or in combination for MASH and Type 2 Diabetes Mellitus. The report says the company initiated a Phase 2a clinical trial in 2023, completed the last patient last visit in November 2024, and announced what it called positive top-line 16-week results from the two-part trial in December 2024.
The second, DA-1726, is a novel oxyntomodulin analogue that works as a dual agonist of the GLP-1 receptor and the glucagon receptor. It is designed for once weekly subcutaneous injection for obesity. The company says it initiated a Phase 1 trial in 2024 and announced what it called positive top-line data from the planned single ascending dose Part 1 of that trial in September 2024; an additional single ascending dose study and a multiple ascending dose study were still to come.
It also has four legacy programs in viral, neurodegenerative and cardiometabolic diseases that it does not plan to advance, and it continues to consider out-licensing and divestiture.
The money behind the listing problem
The same annual report puts a going-concern warning on the company. It reports a net loss of $27.6 million and an accumulated deficit of $135.9 million as of December 31, 2024, and says it concluded there is substantial doubt about its ability to continue as a going concern within twelve months of the date the financial statements were issued. Its independent registered public accounting firm issued an opinion that states the same doubt. It expects increasing operating losses for the foreseeable future.
President and Chief Executive Officer Hyung Heon Kim signed the 8-K on behalf of MetaVia on November 26, 2025.
