MeiraGTx Holdings plc (Nasdaq: MGTX) closed an asset purchase on April 15, 2026, under which it bought the rights to Janssen's gene therapy for X-linked retinitis pigmentosa, known as the RPGR product, and related assets. The company agreed to pay $25,000,000 upfront. The product is botaretigene sparoparvovec, or bota-vec, and the Form 8-K filed April 16, 2026, also covers trial data and a Hologen amendment.
The price and the royalties
The buyer, MeiraGTx Ocular UK Limited, a subsidiary of the company, agreed to pay a one-time contingent payment of $50,000,000. That payment is due only if two conditions are met: U.S. regulatory approval of an RPGR product, and aggregate U.S. net sales of those products above $250,000,000 after the closing date. MeiraGTx also agreed to pay royalties in the mid-teens percentage of annual net sales worldwide, starting on or after July 1, 2029.
If MeiraGTx sublicenses the product, it must share upfront and milestone payments it receives with Janssen. The buyer also bears any royalties and milestones owed under the 2019 license from UCL Business Ltd. to Janssen.
The 8-K says Johnson & Johnson Innovation, JJDC, Inc., the investment arm of Johnson & Johnson and owner of the seller, Janssen Pharmaceuticals, Inc., holds more than 5% of MeiraGTx's shares. That investor and the seller have agreed not to sell any shares for twelve months after the closing date.
A termination agreement signed April 15, 2026 ends the asset purchase agreement of December 20, 2023, under which MeiraGTx had sold its RPGR assets to Janssen, and an associated supply agreement.
The trial behind the drug
Its key study, the Phase 3 LUMEOS study, missed its novel primary endpoint. The 8-K says the endpoint, a Visual Mobility Assessment known as the maze, "did not meet statistical significance." It describes a positive trend, with treated patients 2.4x more likely to respond than untreated patients.
The company reports statistically significant gains on secondary measures of retinal and visual function, and says 40% (22/55) of treated patients improved on two or more endpoints, against 0% in the control group. The 8-K attributes that data to Johnson & Johnson and says safety results were as expected and manageable, with no new safety signals.
The company estimates a potential peak market of about $1.7 billion if the product is approved, a projection for a therapy whose pivotal trial missed its main goal.
The money
The company's annual report for 2025, filed March 30, 2026, reports revenue of $81.4 million for 2025, up from $33.3 million for 2024. The net loss was $114.2 million, against $147.8 million a year earlier. Cash used in operations fell to $46.4 million from $104.5 million. Cash and cash equivalents were $103.7 million at the end of 2024.
Its funding estimate counts $55.0 million received in the first quarter of 2026, $5.0 million in receivables from Hologen, and $95.0 million expected at the closing of a strategic collaboration with Hologen. On that basis, it says the company can fund operations "into the second half of 2027" and repay $25.0 million to Perceptive due in June 2026 and $50.0 million due in May 2027. The estimate excludes $135.0 million in potential milestone cash from Lilly and $285.0 million in milestones under the 2023 Janssen asset purchase agreement, the deal this 8-K terminates.
Hologen
The 8-K describes Amendment No. 1 to a Deed of Commitment Agreement with Hologen and affiliates, signed April 2, 2026. Hologen agreed to issue MeiraGTx 250,000 Class A shares in Hologen at signing. The amendment adds conditions to completion of the March 9, 2025 framework agreements and changes how the $200 million upfront payment is funded, after Hologen previously paid $105 million. After completion under the neuro agreement, Hologen would own 70% of Hologen Neuro AI Limited and MeiraGTx Neuro UK Limited 30%.
What comes next
Chief executive Alexandria Forbes, Ph.D., said in the press release that the company intends to start filing a BLA and an MAA in the U.S., EU and Japan as soon as possible. Neither document sets a date for the filings or the Hologen closing. The next debt dates are the June 2026 Perceptive payment and May 2027.
