MeiraGTx Holdings plc said on April 16, 2026 that it had entered into an asset purchase agreement with Johnson & Johnson to acquire all interests in botaretigene sparoparvovec, or bota-vec, a treatment for X-linked retinitis pigmentosa (XLRP), a rare inherited retinal disease. MeiraGTx had worked with J&J on the program from Phase 1 onward. Alexandria Forbes, the company's president and chief executive officer, said the company was "extremely pleased to have reacquired bota-vec for the treatment of XLRP."
The price and the royalty
MeiraGTx will pay J&J a $25 million upfront cash payment. It will also owe a one-time regulatory and commercial milestone tied to U.S. approval and U.S. sales performance, and a high double-digit royalty on global net sales starting in mid-2029. The release gives no figure for the milestone and no exact royalty rate.
A Phase 3 study that missed its primary endpoint
The LUMEOS Phase 3 study was a global randomized trial of 95 patients, all treated in both eyes. Its primary endpoint, a functional vision measure called the Visual Mobility Assessment, or maze, did not meet statistical significance. The company says the result was "directionally supportive," with treated subjects 2.4x more likely to respond than untreated subjects.
The company says the maze was not sensitive enough to capture benefits that a second measure, LLQ PRO, did detect. It also reports statistically significant improvements on the secondary endpoints in each of the three domains of vision, including a p value of 0.006 for the LLQ extreme lighting score and 0.001 for mobility questions. Secondary results reported after a missed primary endpoint carry less weight, and the release does not say whether the company plans to run another trial to test the primary measure.
The release also quotes Foundation Fighting Blindness chief executive Jason Menzo, who said the data point to real improvements in vision, and notes the foundation's public letter to J&J supporting filing. Those voices favor the treatment and do not change the primary result. The company reports that 45% of treated patients gained more than 10 letters of low luminance visual acuity and 20% more than 15 letters, and that 40% (22/55) improved on at least two endpoints in different domains against 0% of controls. On safety, it called the profile "as expected and manageable," with no new safety signals.
What regulators have and have not done
The release says the FDA has granted Fast Track and Orphan Drug designations to bota-vec, and that EU regulators have granted PRIME status. It says the company holds several hundred vials of product and has completed process performance qualification, with manufacturing data ready for filing. It intends to start filing a BLA and an MAA in the U.S., the EU and Japan as soon as possible, and aims for a potential launch in 2027 after U.S. and EU filings.
The business and the balance sheet
MeiraGTx calls itself a vertically integrated, clinical-stage genetic medicines company. Its annual report for 2025, filed March 30, 2026, describes viral vector facilities in London and Shannon, Ireland. The London site, 29,000 square feet, received a commercial manufacturing authorization from the UK regulator in December 2025. The Shannon campus covers 150,000 square feet.
The same report gives the financial picture before this deal. Revenue was $81.4 million in 2025, against $33.3 million in 2024. Research and development expense rose to $129.6 million from $119.5 million. The net loss narrowed to $114.2 million from $147.8 million, and cash used in operations fell to $46.4 million from $104.5 million. Year-end 2024 cash and cash equivalents were $103.7 million. The release does not say how the $25 million upfront payment will be funded.
What comes next
It also says data from its AQUAx 2 pivotal study of AAV-hAQP1 for grade 2 or 3 radiation-induced xerostomia are expected in the second quarter of 2027. MeiraGTx says that would give it two potential products launching within two years, and it cites more than 20,000 XLRP-RPGR patients in the U.S. and EU, its own figure.
