Medicus Pharma Ltd. (Nasdaq: MDCX) said on September 2, 2025 that it completed its acquisition of Antev Ltd. on August 29, 2025. The company bought 98.6% of Antev's issued and outstanding shares for approximately US$3.0 million in cash and 1,603,164 Medicus common shares. The company reported the closing in a Form 8-K.
What Medicus is buying
Medicus describes Antev as a clinical stage biotech company developing Teverelix, a next generation GnRH antagonist, for cardiovascular high-risk prostate cancer patients and for patients with a first acute urinary retention episode due to an enlarged prostate. The 8-K does not report any trial results for the drug. Medicus says it has no material relationship with Antev or the Antev Vendors other than through this deal.
Medicus's own 10-K, filed March 28, 2025, says the company is in the preliminary stages of its planned operations and has not yet determined whether its business plans are economically viable.
Milestones and amended terms
The deal was made under a definitive securities exchange agreement dated June 29, 2025 among Medicus, Antev and certain Antev securityholders, called the Antev Vendors. The Antev Vendors may receive up to approximately $65 million in additional contingent consideration if milestones tied to potential U.S. Food and Drug Administration Phase 2 and New Drug Administration approvals are met. Deeds of Variation signed on August 1, 2025 and August 15, 2025 amended the agreement, and they provide that Medicus has made a Tag Offer to acquire all Antev shares not held by the Antev Vendors.
Shares and lock-up
The 1,603,164 shares issued to the Antev Vendors are unregistered. Medicus issued them in a private placement under Regulation S and Section 4(a)(2) of the Securities Act of 1933. The lock-up releases 15% of the shares at each of 30, 60, 90, 120, 150 and 180 days after the SEC declares effective the registration statement covering their resale, and 10% at 210 days after. Any shares still locked up on the nine-month anniversary of the closing date are released that day. The release dates depend on when that registration becomes effective.
Yorkville sales and cash
Medicus also sold common shares to YA II PN, Ltd. (Yorkville) under a Standby Equity Purchase Agreement (SEPA) dated February 10, 2025. It sold 100,000 shares at $2.0396 per share, or $203,960, on August 27, 2025, and 150,000 shares at $1.9105 per share, or $286,575, on September 2, 2025. Medicus received aggregate net proceeds of approximately $490,535, and says it intends to use part of that money to prepay debentures outstanding with Yorkville. The SEPA lets Yorkville buy more shares from time to time, subject to conditions and limits.
The cash position is the weak point. The 10-K reports cash used in operating activities of $10,247,231 for 2024, compared with $4,158,264 for 2023. Cash at the end of 2024 was $4,164,323, and financing activities provided $12,692,216 that year. The auditor's report in the same 10-K says there is substantial doubt about the company's ability to continue as a going concern, and the 10-K warns that a going concern opinion may hurt its ability to raise future financing.
Board seat and background
On August 29, 2025, the board appointed Patrick J. Mahaffy, the former chairman of Antev, as a director, raising the board to nine. He sits on no committees for now and will receive $60,000 in annual cash compensation, plus 25,000 stock options at $1.94. The filing says no arrangement links his appointment to any other person.
Medicus was formerly Interactive Capital Partners Corporation. Its 10-K says it completed a business combination with SkinJect, Inc. on September 29, 2023, and that the company was developing one product, SkinJect, a doxorubicin tip-loaded dissolvable microneedle array for basal cell carcinoma. Dr. Raza Bokhari, Executive Chairman and Chief Executive Officer, signed the 8-K.
