Matinas BioPharma Holdings, Inc. said on September 16, 2026 that its board of directors has approved a reverse stock split of the company's common stock at a ratio of one-for-fifteen. The decision was reported in a Form 8-K filed the same day. The split takes effect at 12:01 a.m. Eastern Time on September 28, 2026, and the shares are expected to trade on a split-adjusted basis under the existing symbol MTNB when the market opens that day.

The 8-K says the announcement follows the NYSE American Compliance Guidance Memo, which requires ten calendar days of public notice for certain corporate actions. The filing was signed by Jerome D. Jabbour, the company's Chief Executive Officer.

The terms

Stockholders approved the authority for the split at the annual meeting on June 23, 2025. It allowed the board to effect up to two reverse stock splits, at an aggregate ratio between one-for-two (1:2) and one-for-one hundred ninety-nine (1:199). The board selected one-for-fifteen for this split.

Each holder's shares will convert automatically into the number of shares equal to the pre-split holding divided by fifteen. No fractional shares will be issued. Holders who would otherwise receive a fraction will receive a proportional cash payment. The company says ownership percentages and voting power will remain unchanged, apart from minor changes from the treatment of fractional shares. Holders of shares at brokerage firms need not act. Holders of paper certificates may send them to the transfer agent, VStock Transfer, LLC, which will issue a new certificate.

The 8-K also states that there can be no assurance the split will allow Matinas to maintain its listing on NYSE American. The company's previous reverse split, a one-for-fifty ratio, took effect on August 30, 2024, after NYSE American halted trading in the stock on August 27 because of its low trading price.

What the company does

In its annual report on Form 10-K filed March 31, 2026, Matinas describes itself as a clinical-stage biopharmaceutical company. It uses a lipid nanocrystal (LNC) platform to deliver therapies. Its lead product candidate is MAT2203, an oral form of amphotericin B, an antifungal drug. After the EnACT Phase 2 trial in cryptococcal meningitis, the company says MAT2203 is positioned for a single Phase 3 registration trial, the ORALTO trial, in support of a New Drug Application for invasive aspergillosis in patients with limited treatment options.

The pause and the partnership search

The report says that following an 80% reduction in workforce in late October 2024, the company paused further clinical development of MAT2203 and continues talks with prospective partners toward a licensing, sale or similar transaction. It has also paused internal development of LNC-based programs in oncology and inflammatory diseases while it evaluates strategic alternatives for them. The company will require either a partnership transaction or additional capital before it can begin the ORALTO trial, and it states there can be no assurance a transaction will be completed.

Financial position

The company's reported figures, taken from its annual report and its quarterly report, show lower spending in 2025. Research and development expense was $85,000 for the fiscal year ended December 31, 2025, compared with $11.4 million for 2024. The net loss was $10.3 million for 2025 and $24.3 million for 2024. Cash from operations was negative $7.0 million for 2025 and negative $15.9 million for 2024.

Year-end cash and cash equivalents were $4.0 million at December 31, 2025, against $7.3 million a year earlier, according to the quarterly report filed August 13, 2026. Cash and cash equivalents were $761,000 at June 30, 2026, as reported in that same 10-Q.

The risks ahead

The company still needs a partnership or added capital before it can start the ORALTO trial, and the annual report says there can be no assurance a transaction will be completed. Cash and cash equivalents were $761,000 at June 30, 2026, while cash from operations was negative $7.0 million for 2025. The 8-K says there can be no assurance the split will allow Matinas to keep its NYSE American listing. Clinical development of MAT2203 stays paused, and the filing gives no date for a partnership or financing.
