Mangoceuticals, Inc. said its former wholly owned subsidiary, MangoRx IP Holdings, LLC, signed subscription agreements with two strategic investors for an aggregate $2.5 million, and that it has received the first $1.75 million tranche. The announcement is dated October 1, 2026. The investors committed to buy a 25% membership interest in MangoRx IP, payable in two tranches. The first tranche is the equivalent of a 17.5% interest on a post-acquisition basis. The second, $750,000 for the remaining 7.5%, is payable within 60 days of the initial closing, or by November 28, 2026.

What the investors are buying

The investment is made at the subsidiary level. Mangoceuticals says it involves no shares, warrants or other securities of the Nasdaq-listed parent, so the parent's share count does not change. Chief Executive Officer Jacob Cohen said, "We deliberately structured this investment at the subsidiary level to accomplish two key objectives," one of which he described as "limiting dilution to our public shareholders."

The membership interests were sold in a private placement under Section 4(a)(2) of the Securities Act and Rule 506(b) of Regulation D, and they are not registered. The release does not name a placement agent. It also does not say when or how the parent stopped wholly owning MangoRx IP, which it now calls a former subsidiary.

The patents behind the deal

MangoRx IP owns the patent portfolio behind MGX-0024, the company's antiviral technology. The release says U.S. Patent No. 11,517,523 protects the technology, and that corresponding national patents have been granted or are pending in the EU, Canada, China, India, Australia and Japan.

The company believes the technology could be used in poultry, livestock feed and water additives, and in human oral-care products such as toothpaste, mouthwash, lozenges and oral sprays. The release cites Fortune Business Insights for market sizes of approximately $34.8 billion for oral care and $39.8 billion for feed additives, both in 2025. Those are the size of the markets, not sales of MGX-0024. The release does not report a sale or a license for the technology.

A telemedicine parent with thin cash

Mangoceuticals sells men's health products through its MangoRx telemedicine platform, including treatments for erectile dysfunction, hair growth, hormone replacement and weight management. Its annual report for 2025, filed April 1, 2026, says the company contributed substantially all of its assets to Mango & Peaches under a December 2024 contribution agreement. It also says Mango & Peaches holds substantially all of its assets and operations, and that Jacob Cohen, the chairman and chief executive, exercises majority voting control over that company.

The report says Mango & Peaches' Series A Super Majority Voting Preferred Stock carries 51% of the total vote on shareholder matters. It also describes a related-party pharmacy, Epiq Scripts, which provides pharmacy and compounding services under a master services agreement. Epiq Scripts holds licenses in the District of Columbia and every state except Alabama, and the report warns that a failure to win a license there could limit sales in that state.

The figures are weak. Revenue was $456,021 for 2025, against $615,873 for 2024. The net loss was $20.6 million, up from $8.7 million, while cash used in operations was $5.9 million, against $4.9 million. Year-end 2024 cash was $58,653. Cash and cash equivalents were $1.5 million at the end of 2025 and $228,688 at June 30, 2026. The release gives no current cash balance, and it does not say how the company will fund operations if the second tranche is not paid.

What the release leaves open

The release lists among its risks the company's current non-compliance with certain Nasdaq listing standards relating to its stock price. It does not explain the gap between the $20.6 million net loss and the $5.9 million of cash used in operations.

The second tranche of $750,000 is due by November 28, 2026, and the release says it is subject to the terms of each subscription agreement. The company says the money will help commercialize the patents and pursue licensing, distribution and other opportunities, but it names no licensee and gives no timetable for any deal.
