Lunai Bioworks, Inc. (Nasdaq: LNAI) received a Nasdaq deficiency notice on October 27, 2025. The letter says the company does not meet the $35 million minimum Market Value of Listed Securities (MVLS) requirement for the Nasdaq Capital Market. The company disclosed the notice in a Form 8-K filed October 30, 2025 under Item 3.01, which covers notices of failure to meet a continued listing rule.

What the notice says

The notice came from the Listing Qualifications Department of The Nasdaq Stock Market LLC. It states that Lunai is not in compliance with the MVLS requirement in Nasdaq Listing Rule 5550(b)(2). Nasdaq said the company's MVLS had been below $35 million for the previous 30 consecutive business days.

Under Nasdaq rules, the company has 180 calendar days, until April 27, 2026, to regain compliance. To do so, its MVLS must close at $35 million or more for at least 10 consecutive business days during that period. At that point Nasdaq will confirm in writing that the deficiency is cured and the matter is closed.

The 8-K gives no MVLS figure for any day, no share count and no share price. The notice therefore cannot be checked against the company's own numbers.

Effect on trading

The company says the notice is not expected to have any immediate effect on the listing or trading of its common stock. The shares continue to trade on the Nasdaq Capital Market under the symbol "LNAI."

That position holds only while the compliance period runs. The rule sets a floor, and a company below it must restore its value within the period or move into the delisting process.

If the deadline passes

If Lunai does not regain compliance by the end of the compliance period, Nasdaq will notify it that its securities are subject to delisting. The company may then appeal the determination to a Nasdaq Hearings Panel. The 8-K says an appeal would stay the delisting until the panel decides. Without a stay, a delisting would take the shares off Nasdaq.

What the company plans to do

Lunai says it intends to monitor its MVLS and may consider available options, including potential corporate actions, to regain compliance within the compliance period. The 8-K does not name any specific action, and it does not say whether the company has taken one.

Who signed and the company's record

Chief Executive Officer David Weinstein signed the 8-K on October 30, 2025. The filing covers an event dated October 27, 2025. Lunai Bioworks is a Delaware corporation with its principal executive offices on Century Park East in Los Angeles. The 8-K gives no account of the business, cash position or financing plans, and it does not say what corporate action Lunai might take or how much capital that action would require.

The company's annual report for the year ended June 30, 2025, filed September 29, 2025, supplies more context. It describes Lunai as a pre-clinical-stage biotechnology company with no products that have achieved regulatory approval, and it lists its own continuous incurrence of losses and its ability to continue as a going concern among the matters it flags. It also lists its dependence on substantial additional financing and the dilutive effect of raising capital. The cover reports 231,802,470 shares outstanding as of September 26, 2025, and a market value of $111,903,627 for shares held by non-affiliates on December 31, 2024. That figure is far above the $35 million minimum, but it predates the notice, which says the value has since been below the minimum for 30 consecutive business days.
