Longeveron Inc. (Nasdaq: LGVN) received a notice from Nasdaq on September 22, 2025 saying its Class A common stock no longer meets the $1.00 minimum bid price requirement under Nasdaq Listing Rule 5550(a)(2).
A bid-price deficiency means the stock's closing bid price stayed under $1.00 for too long. In this case it covered the last 30 consecutive business days.
The notice does not delist the stock right away. Under Nasdaq Listing Rule 5810(c)(3)(A), Longeveron has 180 calendar days, or until March 23, 2026, to regain compliance. To do so, the bid price must close at $1.00 or more for at least ten consecutive business days. Nasdaq has discretion to lengthen that minimum to up to 20 consecutive business days.
If the stock closes at $0.10 or less for ten consecutive trading days before the deadline, Nasdaq can issue a delisting determination. If Longeveron misses the March deadline, it could qualify for a second 180 calendar day period, provided it meets the other listing standards and tells Nasdaq it plans to cure the deficiency.
The company said in its filing that it "intends to monitor the closing bid price" and assess its options to stay listed on The Nasdaq Capital Market.
