Lexeo Therapeutics, Inc. (Nasdaq: LXEO) completed its acquisition of Mantle Therapeutics Inc. on September 29, 2026, according to a Form 8-K filed the same day under Items 2.01 and 3.02. The company's principal office is at 345 Park Avenue South in New York, and its common stock trades on the Nasdaq Global Market.

The merger agreement is dated September 16, 2026, and was made among Lexeo, Mantle, Magma Merger Sub Inc. and Shareholder Representative Services LLC. Magma Merger Sub, a Lexeo subsidiary, merged into Mantle, which continues as a wholly owned subsidiary of Lexeo. The agreement was filed as an exhibit to an 8-K filed September 22, 2026. Lexeo omitted some exhibits, schedules and annexes under Regulation S-K, and omitted portions it says are not material and are the type it treats as private or confidential.

What Mantle holders receive

The aggregate upfront purchase price was $5,300,000 in cash, subject to certain adjustments, and $3,000,000 in shares of Lexeo common stock. The 8-K does not give a share count for that stock. Lexeo issued the shares without SEC registration, relying on the exemption in Section 4(a)(2) of the Securities Act and Regulation D for transactions not involving a public offering.

Mantle restricted stock vested in full before the merger and was cancelled for the same consideration as other Mantle shares, subject to withholding. Each Mantle simple agreement for future equity was cancelled for consideration set under its liquidity event terms. Each Mantle convertible promissory note was cancelled on payment of the payoff amount set in the merger agreement.

Payments that may never come

Lexeo describes two contingent payments, and it says neither is guaranteed. A one-time additional cash payment of $1,000,000 is payable only if certain events occur. Up to $12,000,000 in milestone payments is tied to specified development and regulatory milestones for Mantle's product candidates over a milestone term of 12 years. Some milestones are payable in cash and some in Lexeo common stock, valued on a thirty-day trailing volume-weighted average price on the date each milestone is achieved.

Lexeo says it makes no guarantee it will achieve any milestone. The merger agreement does not require it to devote any particular level of resources to Mantle's product candidates beyond a commercially reasonable efforts standard. The 8-K does not name those candidates or describe their stage.

Lexeo's finances before the deal

The annual report for 2025, filed March 30, 2026, gives research and development expense of $63.8 million in 2025, compared with $74.1 million in 2024. Lexeo reported a net loss of $100.0 million in 2025, against a net loss of $98.3 million in 2024. Cash used in operations was $98.6 million in 2025, up from $81.2 million in 2024.

Year-end 2024 cash and cash equivalents were $35.0 million, with short-term investments of $86.5 million. The quarterly report filed August 12, 2026 gives year-end 2025 cash and cash equivalents of $63.0 million and short-term investments of $118.8 million. At June 30, 2026, cash and cash equivalents were $92.8 million and short-term investments were $118.9 million.

The 8-K does not say how the upfront cash payment was funded. Lexeo's own cautionary statement in the 8-K lists the unpredictable relationship between preclinical study results and clinical study results, and delays in regulatory filings or failure to receive regulatory approval, as risks to its plans.
