The split
Lexaria Bioscience Corp. (Nasdaq: LEXX) said in a release dated July 30, 2026 that it will effect a 1-for-15 reverse stock split at 12:01 a.m. Eastern time on August 3, 2026. The company says the primary goal is to raise the per-share market price so that it can regain compliance with the Nasdaq Capital Market's $1.00 minimum bid price under Nasdaq Listing Rule 5550(a)(2).
The split consolidates 24,787,446 shares of common stock into 1,652,518 shares, with fractional shares rounded up to the nearest whole share. Authorized shares fall from 220,000,000 to 14,666,667, and the par value does not change. Outstanding options and warrants are adjusted, with their exercise prices changed accordingly. The new CUSIP number is 52886N604. Holders of physical certificates must contact Computershare Trust Company of Canada before sending them in.
The release also says the split is meant to stabilize trading in the face of what it calls uncertain stock conditions. CEO Richard Christopher said the split is "a critical step towards our continued listing on Nasdaq" and that compliance would help the company attract business development partners and broaden its investor appeal.
The timing and the Nasdaq hearing
The company set the split against the end of its 180-day compliance period. It says it expects to request a Nasdaq hearing to appeal any delisting notice, and it expects to meet the minimum price rule in mid-August, before any hearing takes place.
The release says the company examined 24 other reverse stock splits by Nasdaq-listed biotech companies from January 1 to June 30, 2026, in which the average ratio was 1-for-18. Lexaria chose 1-for-15, a smaller consolidation than that average.
The company and its technology
Lexaria describes itself as a biotechnology company that enhances the bioavailability of active pharmaceutical ingredients using its patented DehydraTECH drug delivery technology. The process combines an active ingredient with long-chain fatty acid-rich triglyceride oils and carrier compounds, then infuses the mixture into a carrier substrate through controlled dehydration. The company says the technology can be used with GLP-1 and GIP drugs, vitamins, pain medications, hormones, antivirals, nicotine and cannabinoids.
Its primary focus is pharmaceutical drug products, but the company also pursues nutraceutical, food and beverage uses, and it works with licensees who use the platform. The annual report for the year ended August 31, 2025 says its involvement with the foundational technology dates to 2014, when it entered a strategic relationship with Poppy's Teas LLC and the original inventors.
The financial record
For the fiscal year ended August 31, 2025, revenue was $705,923, against $464,278 a year earlier. Research and development expense rose to $8.2 million from $2.4 million, and the net loss widened to $11.9 million from $5.8 million. Cash used in operations was $10.5 million, up from $5.0 million.
The company reported year-end cash and cash equivalents of $1.8 million at August 31, 2025, against $6.5 million a year earlier. Year-end short-term investments were $143,267, against $55,807. In a quarterly report filed in July 2026, cash and cash equivalents were $3.5 million at May 31, 2026, and short-term investments were $142,103.
A May 31, 2026 cash balance of $3.5 million compares with fiscal 2025 cash use of $10.5 million, and the company's own release frames the reverse split as a step to keep its listing. The split does not change any holder's percentage ownership, the company says, but it does not change the cash balance either.
