Kyntra Bio signed an amendment and restatement of its royalty financing agreement with NQ Project Phoebus, L.P. The company announced the deal in a release dated Aug. 31, 2026, filed as Exhibit 99.1 to a Form 8-K. CEO Thane Wettig called the amendment "an important step for the company" and said the company remains focused on its pipeline.
The new terms
The maximum aggregate payments under the agreement fall from $125 million to $65 million. The company made an accelerated upfront payment of $42.6 million, which brings total payments to date to $50 million. The release says that is a full return of NQ Project Phoebus's invested capital.
Remaining payments are capped at $15 million. They come from 50% of the revenue Kyntra Bio receives from Astellas in the Astellas territories, excluding Japan. Once the $15 million cap is reached, the amended agreement terminates, and the company keeps all later royalties in those territories. The release names no placement agent or advisor for the transaction, and it names Astellas only as the source of the remaining royalty base.
The FibroGen Europe bankruptcy
The release also describes a bankruptcy at a subsidiary. FibroGen Europe voluntarily filed for bankruptcy in the Finnish court in April 2026. At the filing it carried related product development obligations and accrued interest of $19.2 million. In June 2026 the company settled all of those obligations for approximately $0.1 million. The release says the settlement produced a significant non-operating gain in the second quarter of 2026. Taken together with the amendment, the company says future liabilities fell by approximately $80 million.
Cash after the payment
The company reported cash, cash equivalents, investments and accounts receivable of $95.7 million as of June 30, 2026. Pro forma for the $42.6 million upfront payment, that figure is $53.1 million. The company expects cash to last into the fourth quarter of 2027. The release gives no cash-only figure for that date.
The annual report shows the scale of the decline. Revenue fell to $6.4 million in 2025 from $29.6 million in 2024. Research and development expense fell to $23.5 million from $95.7 million. Cash used in operations fell to $4.8 million in 2025 from $138.0 million in 2024. Year-end cash and cash equivalents were $50.5 million in 2024 and $47.9 million in 2025, and short-term investments were $41.1 million at the end of 2025. At June 30, 2026, cash and cash equivalents were $50.6 million and short-term investments were $40.7 million.
Profit, programs and what comes next
The annual report shows net income of $183.5 million for 2025, after a net loss of $47.6 million in 2024. The release does not explain that 2025 profit, and the bankruptcy gain it describes falls in the second quarter of 2026, not in 2025. Chief Financial Officer David DeLucia pointed to the sale of the company's China operations and the payoff of its senior secured term loan in 2025, and said the company has now reduced its payment obligations under the royalty agreement by $60 million.
The pipeline is still early. The release says interim results from the Phase 2 trial of FG-3246, an antibody-drug conjugate for metastatic castration-resistant prostate cancer, are on track for the fourth quarter of this year, but the release gives no interim data. The release also says the company hopes to start a pivotal Phase 3 trial of roxadustat in lower-risk myelodysplastic syndromes in the fourth quarter of 2026. The release's own company description says Kyntra continues to evaluate the development plan for that Phase 3 trial in the U.S., which sits awkwardly beside the goal of starting it in the fourth quarter. Roxadustat is approved in Europe, Japan, China and other countries for anemia in chronic kidney disease.
