Keros Therapeutics, Inc. (Nasdaq: KROS) agreed on October 15, 2025 to buy back every share held by ADAR1 Capital Management and Pontifax Venture Capital, at $17.75 per share in cash. The two repurchase agreements cover 10,176,595 shares, for an aggregate price of about $181 million, according to a Form 8-K filed the same day.

Once those purchases close, Keros intends to launch a tender offer for up to $194 million of its common stock at the same $17.75 price, subject to market conditions. The company presently intends to start the offer by the end of October 2025. The filing says the offer has not begun and may not begin on these terms or at all.

The holders and their stakes

The ADAR1 parties together own 5,389,264 shares, about 13.3% of the outstanding common stock as of October 14, 2025. The Pontifax parties own 4,787,331 shares, about 11.8%. Both groups agreed to sell all of their shares to the company. The press release says Keros expects to pay for the repurchase and the tender offer from existing cash and cash equivalents.

Cash

Keros gave a preliminary estimate of cash and cash equivalents of approximately $693.5 million as of September 30, 2025. The company calls the figure unaudited, says its independent auditor has not reviewed it, and says it could change.

The terms

The ADAR1 stock purchase agreement, dated October 15, 2025, is between Keros, ADAR1 Capital Management, LLC, a Texas limited liability company, and the sellers listed on a schedule. Sellers deliver their shares electronically to a Keros account at its transfer agent, Computershare Trust Company, N.A. Keros wires the price within one business day of confirming that the shares have arrived.

The repurchase parties also agreed to customary standstill restrictions, voting commitments and mutual non-disparagement obligations. These run until immediately after the final certification of voting results for the company's 2028 annual stockholder meeting.

Directors who resigned

Concurrently with the Pontifax repurchase agreement, Tomer Kariv and Ran Nussbaum resigned from the board and all of its committees, effective October 15, 2025. The board then appointed Jean-Jacques Bienaimé, who already served on the nominating and corporate governance committee, to fill the seat left by Kariv.

The capital return program

The repurchases are part of a $375 million capital return program that Keros announced earlier. Keros also plans to distribute 25% of any net cash proceeds it receives on or before December 31, 2028 from its global license agreement with Takeda Pharmaceuticals U.S.A., Inc. to Keros stockholders.

A Capital Return Committee made up entirely of independent and disinterested directors oversaw the negotiation and approval of the repurchases. It recommended that the full board approve the repurchases and the tender offer, and the board did so.

Advisers and counsel

Goldman Sachs & Co. LLC is Keros' financial advisor, and Cooley LLP is its legal counsel. The 8-K and release name no placement agent or dealer manager for the tender offer.

The pipeline behind the cash

Keros describes itself as a clinical-stage company working on the TGF-beta family of proteins. Its annual report filed in 2025 says it licensed its most advanced candidate, elritercept, to Takeda in December 2024, effective January 16, 2025. The Phase 2 TROPOS trial of its candidate cibotercept in pulmonary arterial hypertension was terminated early in January 2025 after an ongoing safety review found unanticipated pericardial effusion adverse events. Its remaining candidate, KER-065, is being developed for neuromuscular disease, starting with Duchenne muscular dystrophy. Board chair Jean-Jacques Bienaimé said the company continues to target a first quarter 2026 start of the KER-065 Phase 2 trial, subject to positive regulatory interaction.

The 8-K and release give no pre-announcement share price, so they do not show the premium the company is paying over the market, and they give no net loss or spending plan. The preliminary cash figure is an estimate the company says could change, set against a $375 million program.
