Kairos Pharma, Ltd. (NYSE American: KAPA) said in a letter to shareholders from Chief Executive Officer John Yu, M.D., dated June 4, 2026, that it has signed a term sheet for a strategic asset acquisition with Celyn Therapeutics, Inc. The letter was filed as Exhibit 99.1 to a Form 8-K. Celyn is described as a privately held biotechnology company backed by OrbiMed and Torrey Pines Investment.
The CL-741 term sheet
Under the term sheet, Kairos will acquire the worldwide rights to CL-741, which the letter describes as a clinical-stage oncology asset targeting non-small cell lung cancer and esophageal and gastric cancer. The letter calls CL-741 a Phase 1-ready, orally available type IIb c-MET kinase inhibitor. The company says it intends to use its expertise in developing drug-resistance therapeutics and its clinical partnerships to accelerate CL-741's path for patients with EGFR-mutant and c-MET-driven lung cancers. CL-741 will join ENV-105, KROS-201, KROS-102 and ENV-205 in the company's portfolio.
Milestones for the rest of 2026
The letter says Kairos anticipates the initiation of a Phase 1 study with CL-741 targeting EGFR-mutated lung cancer. It expects continued execution of the second phase of its randomized prostate cancer trial of ENV-105, with more trial sites to be announced before the end of the year. For the Phase 1 trial of ENV-105 in non-small cell lung cancer, the goal is to announce key safety and efficacy results by Q3 2026. The company also plans to present key data on its ongoing programs at national scientific meetings. Its target for collaborations with pharmaceutical companies that test ENV-105 with oncology drugs for prostate cancer is the end of Q2 or the beginning of Q3 2026.
Company updates and funding
The letter describes Kairos as a lean operation with a low monthly burn rate and more than $8 million in non-dilutive funding for the preclinical and clinical assets under its management.
Kairos says ENV-105 is in a Phase 2 trial for castrate-resistant prostate cancer and a Phase 1 trial for lung cancer.
Company background
In its annual report on Form 10-K, filed March 31, 2026, Kairos describes itself as a clinical-stage biopharmaceutical company advancing antibodies and small molecules for prostate cancer, lung cancer, breast cancer and glioblastoma. The filing lists KROS 101, 102, 201, 301 and 401 and the ENV 105 and ENV 205 agents among its seven drug therapies. It says KROS 201 is a T cell therapy activated by dendritic cells to treat glioblastoma, and that ENV 105 targets endoglin.
The 10-K states that none of the company's product candidates has been approved as safe or effective by the FDA or any other comparable foreign regulator.
Financial position
SEC XBRL data show research and development expense of $2.1 million for 2025, compared with $414,000 for 2024. The net loss was $5.4 million for 2025 and $2.6 million for 2024, and cash flow from operations was negative $3.4 million in 2025 and negative $4.0 million in 2024. Year-end 2024 cash and cash equivalents were $1.3 million. The letter does not state a cash runway.
What the letter leaves out
The CL-741 deal is a term sheet, and the letter as filed gives no price, payment terms or closing date, so it is not a completed purchase. The letter calls CL-741 both clinical-stage and Phase 1-ready, and reports no human data for it. The milestones are the company's own targets, including a CL-741 Phase 1 study, key safety and efficacy results for the lung cancer trial by Q3 2026, and pharmaceutical collaborations by the end of Q2 or the beginning of Q3 2026. The collaboration target falls at or near the date of the letter, and the letter names no partner.
The "low monthly burn rate" and "more than $8 million" in non-dilutive funding are the company's words, with no burn figure and no explanation of how much of that funding is spent or still to come. None of its product candidates has been approved by the FDA or any comparable foreign regulator. The 2025 net loss was $5.4 million and cash flow from operations was negative $3.4 million, and the letter does not state a cash runway.
