iSpecimen Inc. entered into an Asset Purchase Agreement on September 4, 2026 with Foldlab AI Ltd., a company organized under the laws of British Columbia. Under the agreement, iSpecimen will acquire certain artificial intelligence software, models, source code, data rights, intellectual property and related assets from Foldlab. The filing names two products: the Disease-Associated Protein Discovery AI Agent and the Disease Trend Prediction and Monitoring AI Model. The aggregate purchase price is $4,500,000, and the agreement is filed as Exhibit 10.1 to the 8-K.

The purchase price

The price has two parts. Cash consideration totals $2,000,000. It includes $750,000 payable by wire at closing and two milestone payments of $625,000 each, or $1,250,000 in total. The milestone payments are payable only when each of the two AI products is delivered, tested and accepted under objective criteria in the agreement. No milestone is earned for partial performance, incomplete delivery, a failed test, an unresolved material defect or failure to meet any acceptance criterion.

The remaining $2,500,000 is paid in common stock. The number of shares equals $2,500,000 divided by the volume-weighted average price over the ten consecutive trading days ending the trading day before closing. The shares are deposited with an escrow agent at closing and subject to a five-year escrow and lock-up, with no leak-out.

A separate voting rights agreement gives the company an irrevocable proxy to vote the shares. The stock will be issued under a private-placement exemption and will not be registered under the Securities Act of 1933 or state securities law at issuance. The company has no obligation to register or facilitate resale of the shares.

Closing conditions and protections

Closing depends on several conditions. They include the accuracy of the seller's representations, delivery of a certified disclosure schedule, and approval by iSpecimen stockholders of the transaction and the share issuance. Stockholder approval is required under Nasdaq Listing Rule 5635(a). Other conditions include Nasdaq confirmation of the share listing, required approvals and consents, and no material adverse effect on the assets.

The agreement may be ended by mutual written agreement. The company may end it if a closing condition is not satisfied within 120 days after signing, a period it can extend by up to 60 additional days. No part of the price is payable because of termination.

The seller will indemnify the company against losses from breaches of its representations, pre-closing liabilities, intellectual property claims, privacy liabilities and fraud. General representation claims are subject to a $25,000 deductible basket and a $100,000 aggregate cap, a small ceiling against a $4,500,000 price. Claims for excluded liabilities, privacy, fraud, intentional misrepresentation or willful misconduct are not subject to the basket or cap.

What the filing does not show

The 8-K gives no revenue, users, customers or earnings for either AI product, and says nothing about how well they work today. Two of the payments depend on the products being delivered and accepted, which means they are not finished. The number of shares to be issued is unknown until the price is set before closing, so the dilution cannot be stated yet, and the stock is not registered for resale. The cash part is $2,000,000 against $4.4 million of cash and cash equivalents at June 30, 2026, at a company whose revenue fell from $9.3 million to $1.9 million and whose operations used $4.2 million in 2025. Stockholders may also vote the deal down, and nothing in the filing says they will approve it.

Financial position and next steps

The company intends to file a preliminary proxy statement with the SEC to seek the stockholder approval, and will mail a definitive proxy statement to stockholders later. The company's 10-K for 2025 reported revenue of $1.9 million, a net loss of $10.5 million, cash from operations of negative $4.2 million and year-end cash of $6.9 million. The comparable 2024 figures were revenue of $9.3 million, a net loss of $12.5 million, cash from operations of negative $8.3 million and year-end cash of $1.9 million. Cash and cash equivalents were $4.4 million at June 30, 2026.
