Interpace Biosciences, Inc. announced on August 26, 2026 that it will effect a 1-for-5 reverse stock split of its issued and outstanding common stock. The split becomes effective at 12:01 a.m. Eastern Time on August 27, 2026, and the stock is expected to begin trading on a split-adjusted basis on the OTCID quotation system at the start of market open that day. The announcement was filed with the SEC on Form 8-K.
The mechanics
The company's ticker on the OTCID will temporarily change to IDXGD for 20 trading days, including the effective date. The new CUSIP number will be 46062X402. The number of outstanding shares will fall from approximately 27.7 million, as of the date of the release, to approximately 5.5 million. The total number of authorized shares will not be reduced.
Stock options and restricted stock units will be adjusted proportionally, as will their exercise prices and the number of shares issuable under the company's equity incentive and employee stock purchase plans. The par value of $0.01 per share does not change.
Stockholders holding shares in book-entry form, or through a bank, broker or other nominee, do not need to take any action. Their accounts will be adjusted automatically. The transfer agent, Equiniti Trust Company, will provide information to stockholders about their holdings after the split. Beneficial holders may contact their bank, broker or other nominee with procedural questions.
Why the company is doing it
At its annual meeting of stockholders on August 20, 2026, stockholders approved a proposal that lets the board choose a reverse split ratio from one-for-two to one-for-ten. The board approved the 1-for-5 ratio on the same day.
The release says the split is primarily intended to bring the company into compliance with the minimum bid price requirement for listing on the Nasdaq Capital Market. It says there is no guarantee the company will meet that requirement. It also notes that other Nasdaq listing requirements apply, including a $15 million market value of unrestricted publicly held shares.
Chief Executive Officer Tom Burnell said: "This reverse stock split is a key part of our strategy to uplist our common stock to Nasdaq, which we believe will help support our planned growth and attract a broader range of investors."
The company
Interpace describes itself as an emerging leader in enabling personalized medicine. It has two commercialized molecular tests. ThyGeNEXT is used to diagnose thyroid cancer from thyroid nodules with a next-generation sequencing assay. ThyraMIR v2, used in combination with ThyGeNEXT, uses a proprietary microRNA pairwise expression profiler with algorithmic classification.
SEC XBRL data from the company's annual report shows that it reported net income of $24.6 million for 2025, compared with $6.7 million for 2024. Cash from operations was $5.8 million for 2025 and $4.6 million for 2024. Year-end cash and cash equivalents were $2.5 million for 2025 and $1.5 million for 2024. At June 30, 2026, cash and cash equivalents were $2.7 million, according to the 10-Q.
The amended annual report for 2025, filed April 30, 2026, lists 27,700,904 shares of common stock outstanding as of April 15, 2026.
What the split does not fix
The stock is not on Nasdaq today. It is quoted over the counter, and the split only addresses the minimum bid price. A reverse split changes the share count, not the business or its value, and the release itself says there is no guarantee the bid requirement will be met. The $15 million market value test for unrestricted publicly held shares is a separate hurdle, and the amended annual report put the market value held by non-affiliates at $2,631,295 on June 30, 2025. Cash was $2.7 million at June 30, 2026, and the 2025 net income of $24.6 million sits well above the $5.8 million of cash from operations, so it is not a clean measure of cash earnings. The split takes effect on August 27, 2026, and the temporary IDXGD ticker runs for 20 trading days. The release gives no date for any Nasdaq application or decision.
