Integra LifeSciences Holdings Corporation announced on October 9, 2026 that it priced $450,000,000 aggregate principal amount of 9.500% senior secured notes due 2033. The notes are general senior secured obligations of the company. They are guaranteed by the company's wholly owned domestic subsidiaries that guarantee its senior secured credit facilities.

The sale is expected to close on or about October 19, 2026, subject to customary closing conditions. The company intends to use the net proceeds, together with borrowings under a new credit facility, to refinance its existing credit facilities and to pay fees and expenses. The release says the offering is part of a broader refinancing transaction.

The notes were offered only to qualified institutional buyers under Rule 144A and to certain non-U.S. persons under Regulation S. They have not been registered under the Securities Act of 1933. The release names no placement agent, underwriter or initial purchaser. It also does not name the lenders under the new credit facility.

Integra describes itself as a global medical technology company focused on neurosurgery and tissue reconstruction. The company trades on Nasdaq under the symbol IART.
