The Ninth Amendment

Insulet Corporation entered into the Ninth Amendment to its Credit Agreement on September 21, 2026. The original Credit Agreement is dated May 4, 2021. The amendment was made with the lenders and other parties to the agreement, and Morgan Stanley Senior Funding, Inc. acts as administrative agent.

The amendment replaced $475 million of term loans outstanding under the agreement with an equal amount of new term loans. The new loans have substantially similar terms to the existing ones, except for the interest rate. Their margin is 0.75% for base rate loans and 1.75% for Term SOFR loans, with a SOFR floor of 0.00%. The filing says that margin is 0.25% lower than the margin on the existing term loans. The new loans were issued at par.

Proceeds from the new term loans, together with cash on hand, were used to refinance the existing term loans and to pay the accrued and unpaid interest on them. The filing therefore shows that the company drew on its own cash for the refinancing, not only on new borrowing.

The revolver

The amendment raised revolving credit commitments by $250 million, to $750 million. The revolver was undrawn at the closing date. Margins on revolving loans fell from a range of 1.50% to 2.00% to a range of 1.25% to 1.75% for Term SOFR loans. The applicable margin depends on the company's adjusted total leverage ratio, as defined in the amended agreement. The SOFR floor on revolving loans remains at 0.00%.

Loans and letters of credit under the revolver will fund working capital and other general corporate purposes of the company and its subsidiaries.

Advisers and lenders

Wachtell, Lipton, Rosen & Katz advised the company on the transactions. The filing does not name the individual lenders, and it names no placement agent, underwriter or financial advisor. The amendment's exhibit lists Insulet MA Securities Corporation among the parties, along with Morgan Stanley Senior Funding, Inc. as administrative agent. Flavia Pease, executive vice president and chief financial officer, signed the report.

The company's results

The 10-K shows revenue of $2.71 billion for 2025, up from $2.07 billion for 2024. Research and development expense rose to $301.1 million in 2025 from $219.6 million in 2024.

Net income fell to $247.1 million in 2025 from $418.3 million in 2024. Cash provided by operations rose to $569.3 million in 2025 from $430.2 million in 2024. The company was profitable in both years.

Year-end cash and cash equivalents were $716.1 million for 2025 and $953.4 million for 2024, according to a 10-Q filed August 5, 2026. At June 30, 2026, cash and cash equivalents were $534.9 million. The refinancing drew on cash on hand, as the filing states.

What the filing leaves out

The 8-K says the new loans have substantially similar terms to the existing ones, except for the interest rate and certain other provisions, but it does not list those other provisions. It describes no new money beyond the refinancing and the undrawn revolver, and it does not say how much cash on hand was used.

What comes next

The 8-K gives no maturity date or repayment schedule for the new term loans. It does not say when the revolver might be drawn or whether the company plans further refinancing.
