Inovio Pharmaceuticals, Inc. (Nasdaq: INO) said in its 10-Q filed Aug 12, 2026 that a court has scheduled a seven-day trial to begin on October 13, 2026 in its supply-agreement case against VGXI. Inovio filed the complaint on June 3, 2020 in the Court of Common Pleas of Montgomery County, Pennsylvania. The 10-Q gives no case number.

The defendants are VGXI, Inc. and GeneOne Life Science, Inc., which the filing calls VGXI together. Inovio alleges that VGXI materially breached its supply agreement. VGXI filed counterclaims against Inovio, so Inovio is also the defendant on those claims. The 10-Q names no individuals.

The case

Inovio's complaint seeks declaratory judgments, specific performance of the agreement, injunctive relief, an accounting, damages, attorneys' fees, interest, costs and other relief.

On July 7, 2020, VGXI filed an answer, new matter and counterclaims. They allege that Inovio breached the supply agreement and committed misappropriation of trade secrets and unjust enrichment. The counterclaims seek injunctive relief, damages, attorneys' fees, interest, costs and other relief. Inovio filed its answer to the counterclaims on July 27, 2020 and disputes the allegations.

The 10-Q does not describe what the supply agreement covered. Inovio's 10-Q for the quarter ended June 30, 2020 gave more detail at the time. It said the company sued to compel VGXI to facilitate a transfer of manufacturing methods for the large-scale manufacture of its COVID-19 vaccine candidate INO-4800 by other contract manufacturers. That filing also reported that the court denied Inovio's petition for a preliminary injunction on June 25, 2020, that Inovio appealed to the Pennsylvania Superior Court on June 26, 2020, and that VGXI filed a third-party complaint against Ology Bioservices, Inc., another contract manufacturer Inovio had engaged. The 2026 10-Q does not repeat those points.

Defendants

On Inovio's complaint: VGXI, Inc. and GeneOne Life Science, Inc.

On VGXI's counterclaims: Inovio Pharmaceuticals, Inc. The 2020 10-Q also named Ology Bioservices, Inc. as the target of VGXI's third-party complaint. The 2026 10-Q does not mention it.

Where it stands

The latest status in the filings is the October 13, 2026 trial date. Inovio says it "intends to aggressively prosecute the claims in the complaint and defend the counterclaims." The only later filing we found, an October 6 8-K about a bylaw change, does not mention the trial, so the filings do not show whether it started.

Why it matters to shareholders

The 10-Q gives no dollar figure or estimate of loss for the case. Inovio does say, in a risk factor, that it previously relied on VGXI to manufacture DNA plasmids for its DNA medicine candidates before VGXI became unable to produce the necessary plasmids because of a lack of manufacturing capacity. As a result, Inovio had to engage several additional third-party contract manufacturers.

The risk factors say: "There can be no assurance that we will ultimately prevail in the ongoing litigation matters described in this report or in future litigation matters." They add that actions against Inovio could give rise to substantial damages with a material adverse effect on its financial position, liquidity or results of operations.

On matters outside those it describes, the 10-Q says Inovio is not a party to any legal proceedings whose adverse outcome, in management's opinion, would be reasonably expected to have a material adverse effect on its consolidated results of operations or financial position. The VGXI case is one of the matters it does describe.

Inovio also faces a securities class action over its INO-3107 filing, plus five derivative suits, all in the same quarterly report.
