Impact BioMedical Inc. agreed to a reverse merger with Dr Ashleys Limited, a Hong Kong based pharmaceutical company, under a merger and share exchange agreement signed on June 21, 2025. The parties announced the deal in a press release that Impact BioMedical filed with the SEC as an exhibit to a Form 8-K. Impact BioMedical trades on the NYSE American under the ticker IBO. After closing, the combined company would trade on the same exchange under the name Dr Ashleys Limited.

How the transaction would work

A new holding company, called PubCo in the release, would be formed. A Nevada merger subsidiary of PubCo would merge into Impact BioMedical, which would survive as a wholly owned subsidiary. PubCo would also acquire all shares of Dr Ashleys Bio Labs Limited, a Cayman Islands company that holds all the shares of Dr Ashleys. Both operating companies would then be wholly owned subsidiaries of PubCo.

After closing, PubCo would be run by the Dr Ashleys management team, and Dr Ashleys would assemble a new board. Both boards approved the deal unanimously. Closing still depends on approval by Impact BioMedical shareholders, regulatory approvals, an effective Form F-4 or S-4 registration statement and approval of a listing application by the New York Stock Exchange. The release says PubCo will file that registration statement.

The release gives no exchange ratio, no share count for either company and no valuation. Its forward-looking statements mention an anticipated initial enterprise value and post-closing equity value, but neither figure appears in the text. A copy of the merger agreement is promised in a later Form 8-K.

Advisers and counsel

BMI Capital LLC is M&A and capital markets advisor to Dr Ashleys. Robinson & Cole LLP is U.S. counsel to Dr Ashleys, and Harney Westwood & Riegels is its Cayman Islands counsel. Sichenzia Ross Ference Carmel LLP is U.S. legal counsel to Impact BioMedical, and Revere Securities LLC is its M&A advisor. Capital Formation Marketing, LLC handles investor relations and public relations.

The release's investment banking contact is listed at BMI Capital International LLC, a slightly different name from the one in the advisory sentence. The release does not say which entity signed the merger agreement.

Who the companies are

Dr Ashleys describes itself as a global pharmaceutical company that develops and makes specialized active pharmaceutical ingredients and orphan drugs for rare diseases. The release says it holds more than a dozen manufacturing patents and provides over 300 million annual medical doses to the world's disease epicenters. The release gives no revenue, profit, cash or source for either claim.

Impact BioMedical's own annual report on Form 10-K, filed on March 28, 2025, describes a company that discovers and patents science for healthcare and wellness and works with partners through licensing and joint ventures. Its main programs include Linebacker, a platform of modified myricetin compounds licensed to ProPhase Laboratories for development and commercialization. It also describes Laetose, a technology it says could reduce caloric intake and glycemic index in foods. The 10-K ties those effects to data on file with the company, and those data are not in the filing. Its 3F functional fragrance work is being developed with Chemia Corporation of St. Louis.

The release describes Impact BioMedical's portfolio as 90+ patents, without explaining how it would combine with Dr Ashleys's patents. The release gives no financial figures for either company.

Risks and next steps

The release lists the risks attached to its forward-looking statements. They include the chance that the deal does not close because a condition is not met or a regulator refuses or delays approval, the difficulty of combining the businesses, and possible harm to Impact's share price. It also names risks for Dr Ashleys in keeping customers, staff and suppliers.

The release gives no closing date. Its only dated step is the signing on June 21, 2025. The later steps, the full merger agreement, the registration statement, a shareholder vote and the exchange listing review, have no dates in the release.
