ImageneBio, Inc. filed a corporate overview dated July 2025 as an exhibit to a Form 8-K on July 29, 2025. The overview says the merger between Ikena Oncology, Inc. and Imagene Biopharmaceuticals was completed in July 2025. It describes the combined company as a clinical-stage biopharmaceutical company working on immunology and inflammatory disorders. It was founded in 2019, is based in San Diego and has raised $140 million to date. The merger was registered on a Form S-4 (File No. 333-285881) that was declared effective on June 11, 2025.
What the overview says about the company
The overview lists Kristin Yarema, PhD, as chief executive officer, Yufang Lu, MD, PhD, as chief financial officer, and Jotin Marango, MD, PhD, as chief medical officer. It gives no breakdown of the $140 million, no date for when it was raised and no cash balance.
Its forward-looking statements list the significant net losses Imagene has incurred since inception and the timing of data from its clinical trials as risks. The overview does not say how long the $140 million would fund the company, and it gives no net loss figure for the combined company.
Ikena's 10-K, filed March 6, 2025 before the merger, describes Ikena as a targeted oncology company with a limited operating history. It says Ikena had incurred significant net losses since its inception.
The lead program, IMG-007
IMG-007 is an anti-OX40 antibody that the overview describes as ADCC-silenced, half-life extended and non-depleting. The company's Phase 2a atopic dermatitis trial dosed the drug every other week for four weeks. The overview says patients showed rapid and marked improvement from baseline in EASI, O-SCORAD and BSA scores as early as week one, and that improvement continued over the 20 weeks after the last dose.
The overview gives a mean 77% reduction in EASI at week 16 and 54% of patients reaching EASI-75 at that point. The trial was open label and enrolled 13 patients, who received three intravenous doses of 300 mg at weeks 0, 2 and 4. With no placebo arm and so few patients, the result is an early signal, not a controlled comparison. The overview describes IMG-007 as well tolerated, with no pyrexia or chills observed to date.
In a Phase 1 study in healthy adults, with six participants in each dose group, a single 600 mg subcutaneous dose showed a half-life estimated at about 34.7 days, which the company links to a possible maintenance schedule every 24 weeks. In that study, injection site reactions were the most common adverse events and occurred more often in the placebo group, at 75%, than in the IMG-007 group, at 25%. The overview calls all of them mild. The overview also reports a Phase 2a alopecia areata trial with a dose-related clinical activity signal. The Phase 2b atopic dermatitis trial is shown as under way, with the first patient dosed on July 1, 2025.
Market size and comparisons
The overview estimates the market for IMG-007 at about $5 billion in peak sales, across about 5.5 million patients. It puts atopic dermatitis at about 3.0 million patients, alopecia areata at about 0.6 million and asthma at about 1.9 million. These are company estimates for the U.S., five large European countries and Japan, and the overview cites GlobalData and a Sanofi R&D Day epidemiology appendix as its sources.
A slide sets the IMG-007 results beside two Phase 2b trials of other companies' antibodies. The overview itself warns that those trials used different designs and that cross-trial comparisons cannot be made. Its own efficacy figures for IMG-007 come from one small open-label study, and the subcutaneous data come from a single-dose pharmacokinetic study in healthy adults.
What the overview leaves open
The overview contains no placebo-controlled efficacy results from the Phase 2b study, which has only just started. It also gives no timetable for the Phase 3 program beyond the Phase 2b dosing plan. Its own cover page is a presentation rather than a financial statement, so the company's cash, spending and runway cannot be checked from the document.
