HCW Biologics Inc. (Nasdaq: HCWB) has regained compliance with Nasdaq's minimum bid price rule, but only after a Nasdaq Hearings Panel found it in compliance and put the company under a monitor. The company disclosed the decision in a Form 8-K filed June 30, 2026, which reports that the Panel's finding came in a letter received June 29, 2026. The Panel's decision letter, which was amended, is dated May 29, 2026.
What the monitor means
The 8-K says the Panel intends to impose a discretionary panel monitor for one year, if the company meets the remaining terms of the decision through September 22, 2026. Under Nasdaq's rules, the company is also subject to a mandatory panel monitor until June 17, 2027.
The filing sets out what happens if the stock falls below the bid price rule again during that period. Staff will not accept a plan of compliance for that deficiency, and it cannot give more time or a cure period. Staff will instead issue a Delist Determination Letter. The company could then ask for a new hearing before the original Panel or a newly convened one. The 8-K states that the company's securities "may be at that time delisted from Nasdaq."
Any repeat would move straight to a delisting determination.
The reverse split
The company's press release, filed as Exhibit 99.1, says HCW Biologics "will effect a reverse stock split at a one-for-six ratio on June 30, 2026." The release says the split is meant to ensure long-term compliance with the bid price rule. It names Equiniti as the company's transfer agent and lists Equiniti's actions among the factors that could affect the split. The release does not give the new number of shares outstanding or the new share price.
The company says in the release that it is now compliant with all continued listing rules.
The money behind the listing
The company's annual report for 2025, filed March 31, 2026, reports a net loss of $8.0 million for 2025, down from $30.0 million for 2024. Cash used in operations was $13.4 million in 2025, against $14.2 million in 2024. Research and development expense was $5.4 million in 2025 and $6.4 million in 2024. Cash and cash equivalents fell to $2.0 million at December 31, 2025, from $4.7 million a year earlier, and the company held no short-term investments at either year-end. The annual report says there is substantial doubt about the company's ability to continue as a going concern based on that cash, and that it will need to raise additional funding, which may not be available on acceptable terms, if at all.
The 8-K and the release do not say how the company intends to fund operations after the split, and neither document mentions a new financing.
Clinical programs
HCW Biologics develops fusion immunotherapies aimed at chronic inflammation, with a focus on autoimmune disease, cancer and senescence-associated dysplasia. Its lead clinical candidate, HCW9302, is an injectable interleukin 2 fusion protein built on the company's TOBI platform. The first patient in its first-in-human trial, in alopecia areata, was dosed on November 17, 2025, at The Ohio State University Wexner Medical Center. HCW11-006, a preclinical molecule, is to be developed by Beijing Trimmune Biotech Co., Ltd., which holds exclusive worldwide rights for in vivo uses and intends to begin Phase 1 trials in China in mid-2027. HCW11-040, another preclinical molecule, combines cytokines with pembrolizumab; its reported advantage over pembrolizumab comes only from in-vitro and in-vivo laboratory studies.
The pipeline is early: one compound in a first-in-human trial, the rest preclinical. The annual report says business development transactions are a key part of its plans. Neither the 8-K nor the release reports clinical data.
What comes next
The next dates in the filing are September 22, 2026, when the remaining terms of the Panel decision are due, and June 17, 2027, when the mandatory monitor ends. The company's chief financial officer, Rebecca Byam, is the press release contact. The company's chief executive, Hing C. Wong, signed the 8-K.
For a company with $2.0 million in cash at the end of 2025 and a going-concern warning, the reverse split addresses the share price, not the funding gap.
