The split

Glucotrack, Inc. (NASDAQ: GCTK) filed a certificate of amendment with the Delaware Secretary of State that became effective at 4:30 p.m. Eastern Time on August 28, 2026. The amendment carried out a one-for-fifteen reverse stock split of its common stock, par value $0.001 per share. Stockholders approved the split at the company's 2026 annual meeting on August 18, 2026.

Every 15 shares of issued and outstanding common stock were combined into one share. No fractional shares were issued. Stockholders who would otherwise have received a fraction of a share received an additional fraction to round up to the next whole share. The filing says the split did not change the total number of authorized shares, which remains 250,000,000.

Trading and shareholder records

The common stock will begin trading on a split-adjusted basis at market open on August 31, 2026. The ticker symbol remains GCTK. The new CUSIP number is 45824Q887. The transfer agent, VStock Transfer, LLC, is acting as exchange agent and will send each stockholder of record a transaction statement showing the number of shares held after the split. Stockholders who hold shares through a broker or other nominee will have their positions adjusted automatically.

Share count and per-share figures

The number of common shares outstanding was reduced proportionally from 11,972,157 to approximately 798,144 immediately before the effective time. Shares underlying outstanding stock options and warrants were adjusted in the same way, with corresponding changes to their exercise prices.

The filing includes tables showing the effect of the split on net loss per share and on weighted average shares. For the year ended December 31, 2025, the comprehensive net loss was $19,339 thousand. Net loss per common share was $31.22 before the split and $468.30 after it. For the year ended December 31, 2024, net loss per common share was $4,106 before the split and $61,590 after it. For the three months ended June 30, 2026, net loss per share was $0.76 before the split and $11.40 after it. For the six months ended June 30, 2026, it was $2.44 before the split and $36.60 after it.

The pre-split amounts come from the annual report filed March 30, 2026 and from quarterly reports filed May 14, 2026 and August 14, 2026. The post-split amounts include the effects of the split.

The table also presents period-end share counts. Common stock outstanding at December 31, 2025 was 910,688 before the split and 60,713 after it. At June 30, 2026 it was 6,259,279 before the split and 417,285 after it.

Financial position

The quarterly report filed August 14, 2026 shows cash and cash equivalents of $1.1 million at June 30, 2026. The annual report for 2025 shows research and development expense of $9.8 million, a net loss of $19.4 million and cash used in operations of $15.2 million for the year.

The risks ahead

A reverse split is arithmetic, not a business improvement. It changes the share count and the per-share figures and does not change the company's cash or what it earns. The filing gives no reason for the split and does not mention a listing requirement. The filing's own table shows shares outstanding, on the pre-split basis, rising from 910,688 at December 31, 2025 to 6,259,279 at June 30, 2026, so the share count grew sharply before the split took effect. Authorized shares stayed at 250,000,000 while about 798,144 were outstanding right after the split, which leaves a very large number available to issue. Options and warrants were adjusted along with their exercise prices, so those claims on the company carry over.

Cash and cash equivalents were $1.1 million at June 30, 2026, while cash used in operations was $15.2 million for 2025 and the net loss was $19.4 million. The filing describes no financing tied to the split.
