The loan terms

GeoVax Labs, Inc. (Nasdaq: GOVX) entered into a Revolving Loan Agreement with Bowery Consulting Group Inc. on October 25, 2026, according to an 8-K filed October 27, 2026. GeoVax may request loans of up to $1,000,000 outstanding at any one time. As of the 8-K, it had not borrowed anything under the agreement.

Loans bear interest at 12% a year, calculated on a 360-day year, with accrued interest payable at maturity. All outstanding loans and interest fall due on the first anniversary of closing. The loans are unsecured and cannot be converted into stock. Every drawdown is at the lender's sole discretion, and either side can end the commitment by written notice. Loans can be prepaid without penalty and reborrowed. On an event of default, the lender may accelerate, and the default rate is 16% a year.

GeoVax may use the loans for general corporate purposes, including offering expenses. The agreement requires it to use reasonable best efforts to complete, as soon as practicable, a registered public offering of at least $5,000,000 in gross proceeds. It also contemplates further offerings that together bring in at least $10,000,000. Each offering is to be priced by a board pricing committee in compliance with Nasdaq Listing Rule 5635, and the 8-K says nothing in the agreement commits GeoVax to issue any minimum amount of securities.

While any loan is outstanding, GeoVax may not, without the lender's consent, amend its organizational documents in a way materially adverse to the lender, repurchase equity above specified thresholds, or incur most debt for borrowed money.

The board changes

Effective October 23, 2026, directors Randal Chase, Dean Kollintzas, Nicole Lemerond, Jayne Morgan and John Spencer, Jr. resigned. The remaining directors appointed Steven Brown, Tyler O'Brien and Manpreet Uppal, all designated by the lender. The 8-K says their appointment was a condition of the lender's obligations under the agreement.

The 8-K says the resignations were not the result of any disagreement with the company. The three lender nominees hold three of the five board seats and a majority of each board committee. The board has determined that each is independent under Nasdaq rules, and each may not be an officer, employee or controlling person of the lender. The lender, which the 8-K says is not affiliated with GeoVax, also keeps the right to designate replacements, subject to approval by independent directors.

While the arrangement lasts, GeoVax may not, without the lender's consent, propose the removal of a nominee, fail to nominate them for election, or reduce their proportionate representation on the board or any committee. A nominee is deemed to have resigned if the initial closing of the planned public offering does not happen within ten business days after its Form S-1 takes effect, or if the required additional financing does not close by December 31, 2026, which can be extended. The nominees stay on the board after the loans are repaid unless one of those resignations is triggered.

The business and the money

GeoVax's 10-K, filed April 15, 2026, describes a clinical-stage biotechnology company developing human vaccines and immunotherapies against infectious diseases and solid tumor cancers. Its primary near-term priority is GEO-MVA, a Modified Vaccinia Ankara vaccine candidate for mpox and smallpox. The 10-K says GEO-MVA is on an expedited regulatory pathway in Europe, with a pivotal Phase 3 trial planned for the second half of 2026.

The oncology lead, Gedeptin, recently completed a Phase 1/2 trial in advanced head and neck cancers, and a Phase 2 trial is planned for the first half of 2027. GEO-CM04S1, a COVID-19 vaccine, is in two Phase 2 trials.

Research and development expense was $18.1 million in 2025, down from $23.7 million in 2024. The net loss was $21.5 million in 2025, against $25.0 million in 2024. Cash and cash equivalents were $3.1 million at June 30, 2026, according to its 10-Q, against cash used in operations of $21.5 million in 2025.

The loan is capped at $1,000,000, which is small against a $21.5 million net loss and $3.1 million of cash. It carries 12% interest, rising to 16% on default, and it is due at the first anniversary of closing. The required public offering of at least $5,000,000 is the larger financing question, and the 8-K makes it a term of the loan.
