The deficiency letter

GeoVax Labs, Inc. (Nasdaq: GOVX) received a deficiency letter from the Listing Qualifications Department of the Nasdaq Stock Market on July 31, 2025. The letter said the closing bid price of the common stock had been below the $1.00 minimum for the preceding 30 consecutive business days. The requirement is Nasdaq Listing Rule 5550(a)(2), for continued inclusion on The Nasdaq Capital Market. The company filed the notice under Item 3.01, which covers a failure to satisfy a continued listing rule or standard.

The deadline and the cure

Nasdaq gave the company an initial period of 180 calendar days, or until January 27, 2026, to regain compliance. To regain compliance, the closing bid price must be at least $1.00 for a minimum of 10 consecutive business days before that date. Nasdaq staff would then confirm compliance in writing.

If GeoVax does not regain compliance by January 27, 2026, it may be eligible for an additional 180 calendar day period. To qualify, the 8-K says, the company would need to give written notice of its intention to cure the deficiency during that period, by effecting a reverse stock split if necessary, and meet the other listing standards. If it is not eligible, Nasdaq staff will notify the company in writing that its common stock will be subject to delisting, and the company could appeal to a Nasdaq Hearing Panel. The 8-K does not give the share price or the size of any split.

The business behind the notice

GeoVax's 10-K, filed March 27, 2025, describes a clinical-stage biotechnology company developing human vaccines and immunotherapies against infectious diseases and solid tumor cancers. Its lead clinical program is GEO-CM04S1, a next-generation COVID-19 vaccine. The company has been awarded a BARDA-funded contract to sponsor a 10,000-participant, randomized Phase 2b trial comparing GEO-CM04S1 with a COVID-19 vaccine approved by the U.S. Food and Drug Administration. The 10-K says that study is anticipated to commence in the second half of 2025.

The 10-K says the FDA has indicated "the likely need for continued vaccine adjustments and boosters at least annually". It also says currently available vaccines "tend to stimulate only modest T-cell responses". GEO-CM04S1 is in three Phase 2 trials, including a booster for patients with chronic lymphocytic leukemia. The company says that booster "recently demonstrated superior immune responses versus an mRNA vaccine following an interim Data Safety Monitoring Board (DSMB) review". An interim review by a monitoring board is a narrower step than a completed trial.

The oncology lead, Gedeptin, recently completed a multicenter Phase 1/2 trial in advanced head and neck cancers. A Phase 2 trial in first recurrent head and neck cancer is planned. GEO-MVA, a vaccine targeting Mpox and smallpox, is in regulatory discussions and manufacturing scale-up.

Critical read

A bid price notice is a listing problem, and the company now has to lift its share price within about six months while its lead program still depends on a Phase 2b comparison that the 10-K expected to start in the second half of 2025. The 10-K business section describes the Phase 2b study as anticipated, not under way.

The reverse split option is a fix for the listing rule, not for the program. A split would change the share count and the share price without changing the trial timeline, the FDA path or the interim result cited for the booster. The company's own filing describes the current COVID-19 vaccines as inadequate for some immunocompromised patients, which is the population it targets, and it does not show a completed comparison against approved vaccines.
