Genprex, Inc. (Nasdaq: GNPX) reported on August 5, 2026 that Nasdaq's Hearings Panel had determined the company regained compliance with the $1.00 minimum bid price requirement. The company was formally notified on August 4, 2026. The panel's decision leaves Genprex under its jurisdiction until December 7, 2026, and the stock must keep a closing bid of at least $1.00 on each trading day until then. The Form 8-K was signed by Ryan M. Confer, President, Chief Executive Officer and Chief Financial Officer.

The panel's decision

The filing, made under Item 3.01 of Form 8-K, recounts the steps that led to the result. On July 29, 2026, the Nasdaq Hearings Panel granted the company's request to continue its listing on The Nasdaq Capital Market and granted an exception to demonstrate compliance with Nasdaq Listing Rule 5550(a)(2), the bid price requirement. On August 4, 2026, the panel determined that Genprex had regained compliance. The panel said the company must maintain a closing bid price at or above $1.00 for each trading day until December 7, 2026. It described that date as the full extent of its discretion on the bid price requirement.

The panel will keep jurisdiction over Genprex until December 7, 2026. If the company becomes non-compliant with any other Nasdaq listing rule before then, it will have seven calendar days to advise the panel on its plan to cure the deficiency. The panel will then decide whether to grant an exception to cure the deficiency or to delist the company.

The Acclaim-1 Phase 1 dose escalation portion was completed in May 2023. The Acclaim-1 Safety Review Committee reviewed safety data showing no dose limiting toxicities and approved advancement to the Phase 2a expansion portion. Of the twelve patients originally enrolled in Phase 1, three had prolonged progression-free survival. One patient attained a partial remission after the second course of REQORSA and Tagrisso and has maintained it through 60 courses of treatment, approximately 42 months, and continues to receive treatment. The other two later progressed, after about 24 and 10 months, and the sources give no response data for the other nine patients. The Phase 1 results were published in Clinical Lung Cancer in January 2026. The company enrolled and dosed the first patient in the Phase 2a expansion portion in January 2024.

Business and financial position

The 10-K business section says Genprex is currently enrolling and treating patients in the Phase 2a expansion portion of its Acclaim-1 trial. That trial combines REQORSA with Tagrisso in late-stage non-small cell lung cancer with activating EGFR mutations. The Phase 1 dose escalation portion established a recommended Phase 2 dose of 0.12 mg/kg every 21 days. The Acclaim-3 trial pairs REQORSA with Genentech's Tecentriq (atezolizumab) as maintenance therapy for patients with extensive stage small cell lung cancer. Its Phase 2 expansion portion is also enrolling. Acclaim-2 stopped enrolling new patients after the company announced that decision in August 2024, and the 10-K says that trial closed due to slow enrollment, among other factors.

For the fiscal year ended December 31, 2025, the XBRL data show research and development expense of $9.4 million and a net loss of $16.2 million. For 2024, the comparable figures were $10.5 million and $21.1 million. Cash from operations was negative $15.3 million in 2025 and negative $17.9 million in 2024. Year-end cash and cash equivalents for 2024 were $1.6 million.

What comes next

Until December 7, 2026, the company must keep its closing bid at or above $1.00 each trading day, and the panel retains jurisdiction over Genprex through that date. The panel called December 7 the full extent of its discretion on the bid price rule, so the filing offers no further grace on that rule beyond that date. It does not say how the bid price recovered or whether the stock has a cushion above $1.00. Any other listing failure sends the company back to the panel with seven calendar days to present a plan, and the panel could then delist it. The company is also spending cash: operations used $15.3 million in 2025 against a $16.2 million net loss, with no revenue reported for 2024.
