Genprex, Inc. (Nasdaq: GNPX) filed a certificate of amendment on July 13, 2026 to effect a one-for-twenty-two reverse stock split of its common stock. The split takes effect at 12:01 a.m. Eastern Time on July 16, 2026. The company expects the shares to begin trading on a split-adjusted basis when the market opens that day. The trading symbol will remain GNPX, and the CUSIP number will change to 372446-401. The company also furnished an investor presentation under Item 7.01 of Form 8-K.

Terms of the reverse split

Every twenty-two shares of common stock outstanding will become one share. Based on 11,108,577 shares outstanding as of July 13, 2026, the company estimates approximately 504,936 shares will be outstanding immediately after the split. That estimate is before rounding for fractional shares and does not count any shares issued after July 13, 2026. No fractional shares will be issued. Holders who would otherwise receive a fraction of a share will receive an additional fraction to round up to a whole share.

The split will not change the par value of $0.001 per share or the authorized number of shares. Options, warrants and other securities will be adjusted as their terms require. Stockholders approved the range at the annual meeting held on June 18, 2026. The range allowed a ratio of not less than one-for-five and not more than one-for-fifty, with the ratio set by the board. The board approved the one-for-twenty-two ratio on July 2, 2026. The certificate of amendment is filed as Exhibit 3.1 to the report.

The investor presentation

The presentation, furnished as Exhibit 99.1, may be shown at investor meetings on or after July 14, 2026. The slides will be posted on the company's website. The Item 8.01 section summarizes the Acclaim-1 trial. Three of the twelve patients in the Phase 1 dose escalation portion had prolonged progression-free survival. One patient reached a partial response after the second course of REQORSA and Tagrisso and remained on treatment without disease progression for approximately 46 months. The company's 10-K gave approximately 42 months for the same patient, so the presentation updates that figure. It was one patient: the 10-K says a second patient progressed after about 24 months and a third after about 10 months, and it gives no response data for the other nine.

The Item 8.01 section also says the company entered into a sponsored research agreement with the University of Texas MD Anderson Cancer Center to study biomarkers that may predict response to REQORSA. That work identified two proteins, TROP-2 and PTEN, whose expression appears to predict response. The 10-K says validation in specimens from clinical trials will still be needed to show whether they predict clinical response. In May 2026, research collaborators published an abstract at the 2026 American Society of Clinical Oncology Annual Meeting that reported clinical data from studies of those biomarkers.

The 10-K gives the background on the Acclaim-2 trial. As previously announced in August 2024, enrollment challenges and delays due to competition for investigators and eligible patients led the company to cease enrollment of new patients. The company chose to focus its resources on the other two Acclaim trials, in small cell and non-small cell lung cancer. The company continues to believe the Acclaim-2 combination could be beneficial.

Financial position

For the fiscal year ended December 31, 2025, the XBRL data show research and development expense of $9.4 million, compared with $10.5 million in 2024. Net loss was $16.2 million for 2025 and $21.1 million for 2024. Cash from operations was negative $15.3 million in 2025 and negative $17.9 million in 2024. Year-end cash and cash equivalents were $1.6 million at the end of 2024.

The shares are expected to trade on a split-adjusted basis from July 16, 2026. A reverse split changes the share count, not the business: the company still reported no 2024 revenue, a $16.2 million net loss for 2025 and negative cash from operations of $15.3 million. The filing does not give a date for the next clinical update or say why the ratio was chosen.
