Gain Therapeutics, Inc. (Nasdaq: GANX) disclosed in its 10-Q filed August 11, 2026 that a warrant holder is suing the company and its chief executive officer in federal court in Delaware for more than $3.1 million. Andrew Schwartzberg filed the original complaint on January 21, 2026 in the U.S. District Court for the District of Delaware against Gain and Gene Mack. The 10-Q gives no case number.

The defendants are Gain Therapeutics, Inc. and Gene Mack, whom a September 28, 2026 8-K identifies as the company's president and chief executive officer.

The case

The original complaint alleged that Gain and Mack failed to honor an alleged agreement to amend the exercise price of Schwartzberg's outstanding warrants. It alleged that the agreement was made to induce his further investment in the company. Gain and Mack moved to dismiss it on March 31, 2026.

In response, Schwartzberg filed an amended complaint on April 14, 2026. It asserts four claims: breach of contract against Gain; fraudulent inducement against Gain and Mack; promissory estoppel against Gain and Mack; and breach of the implied covenant of good faith and fair dealing against Gain. The amended complaint seeks monetary damages in excess of $3.1 million, plus pre-judgment and post-judgment interest.

The 10-Q does not say which warrants are at issue, what exercise price Schwartzberg says was promised, or when the alleged agreement was made.

Defendants

Gain faces all four claims. Two of them, fraudulent inducement and promissory estoppel, are also brought against Mack. The other two, breach of contract and breach of the implied covenant, are brought against Gain alone. The 10-Q names no other defendant.

Where it stands

Gain and Mack filed a motion to dismiss the amended complaint on April 28, 2026. The 10-Q says the motion is fully briefed and pending before the court. The filing gives no hearing date and no trial date. Gain says it and Mack intend to defend against the action vigorously.

The later filings reviewed do not report a ruling. The September 28 8-K says Gianluca Fuggetta, the principal financial officer, would resign effective September 30, 2026, and that Mack would serve as interim chief financial officer from October 1 while remaining chief executive officer. An 8-K filed October 28, 2026 says Jeanette Weidner became vice president of finance and principal financial officer. Neither mentions the lawsuit.

Why it matters to shareholders

The 10-Q gives no estimate of loss and no accrual for this case. It states that Gain records a liability when a loss is probable and reasonably estimable, and that resolving legal matters in a way that differs from management's expectations could have a material impact on its financial condition and operating results.

The 10-Q reports cash and cash equivalents of $13.1 million at June 30, 2026. It says that amount will not be sufficient to fund operating and capital expenditures for at least 12 months from the date the financial statements were issued. It says substantial doubt exists about the company's ability to continue as a going concern and that it needs more capital to operate beyond the second quarter of 2027.

Related matters

The same note describes an earlier suit. Matthias Alder, Gain's former chief executive officer, sued the company on September 18, 2024 in the Circuit Court of Maryland for Montgomery County after his employment ended on June 25, 2024. After mediation, that lawsuit was dismissed with prejudice on July 2, 2025.
