Fulcrum Therapeutics agrees to all-stock merger with Slate Medicines
Tickers FULC
Fulcrum's holders would own 5.0% of the combined company, after an estimated $270.0 million cash dividend paid before closing. The release reports no efficacy data for Slate's lead drug, whose first readout in mid-2027 covers safety and pharmacokinetics in healthy volunteers.

The deal
Fulcrum Therapeutics, Inc. (Nasdaq: FULC) and Slate Medicines, Inc. agreed on August 16, 2026 to combine in an all-stock merger, announced August 17. The combined company will operate as Slate Medicines, Inc. and is expected to trade on Nasdaq under the ticker SLTE. Gregory Oakes, Slate's chief executive, will lead it. Closing is expected in the fourth quarter of 2026, subject to stockholder approval at both companies, an effective registration statement, and the expiry of the Hart-Scott-Rodino waiting period.
Fulcrum chief executive Alex C. Sapir called the transaction "the best path forward for our stockholders." The deal follows Fulcrum's June decision to discontinue pociredir. Sapir said the board and management had been reviewing strategic alternatives since that announcement.
The 8-K and the joint call script give the split on a fully diluted basis: pre-merger Fulcrum holders about 5%, pre-merger Slate holders about 55.9%, and investors in the concurrent financing about 39.1%. Fulcrum's 5% depends on its net cash at closing. Fulcrum expects to contribute $20.3 million of net cash and to pay a cash dividend of an estimated $270.0 million to its pre-merger stockholders just before closing. The merger agreement sets a termination fee of $10 million payable by Fulcrum in some circumstances and $15 million payable by Slate in others. After closing, Slate will designate all five members of Fulcrum's board.
Fulcrum's stockholders must also approve a name change to Slate Medicines, Inc. and a reverse stock split, at a ratio still to be agreed. Fulcrum options with an exercise price above $7.00 that remain unexercised at closing will be cancelled for no consideration, according to the Form 425 filing.
The Slate pipeline
Slate's lead asset is SLTE-1009, a monoclonal antibody designed to bind both PACAP and VIP, two neuropeptides that the companies say play foundational roles in migraine. It is engineered for subcutaneous dosing and possibly quarterly administration. Slate says it has clearance for a Phase 1 healthy volunteer study in Australia, with topline safety and pharmacokinetic data expected in mid-2027. A Phase 2 dose-range finding study in migraine patients is planned for the second half of 2027.
The release reports no efficacy data for SLTE-1009 in patients. Slate also describes SLTE-2100, a bispecific antibody targeting PACAP/VIP and CGRP, which is in lead optimization and expected to enter clinical trials in the second half of 2027. A third program in migraine is undisclosed. On the call, Oakes said PACAP blockade "has shown encouraging clinical data in the prevention of migraine," but the script cites no study for that claim.
Slate's own market claims are its own. Oakes said that in pivotal CGRP studies only about half of patients achieved a more than 50% reduction in monthly migraine days, and only 20% achieved more than 75%. He also put the CGRP market at over $5 billion in 2025, projected to exceed $10 billion at peak. The call script gives no source for those market figures.
Money and advisers
Fulcrum's annual report for 2025, filed February 24, 2026, shows a net loss of $74.9 million for 2025, with cash used in operations of $60.1 million and research and development expense of $56.1 million. Its quarterly report filed July 30, 2026 shows cash and cash equivalents of $48.5 million at June 30, 2026. The $270.0 million dividend estimate is larger than that cash figure, and the release does not give Fulcrum's marketable securities at June 30.
The $245 million concurrent private placement is led by Frazier Life Sciences, with Forbion, RA Capital Management, Deep Track Capital, Foresite Capital, OrbiMed, RTW Investments and Mingxin Capital also participating. The release does not name a placement agent. Slate's exclusive financial adviser is Wedbush Securities Inc., and its legal counsel is Cooley LLP. Fulcrum's exclusive financial adviser is Leerink Partners LLC, and its legal counsel is Goodwin Procter LLP. The companies say the combined cash balance is expected to fund operations into 2029.
