Fractyl Health reported first-quarter 2026 net income of $9.2 million, or $0.06 per share, on May 12, 2026, against a net loss of $23.7 million a year earlier. The profit came from a $30.1 million non-cash gain on the change in fair value of warrant liabilities. The loss from operations was $20.8 million.

Cash and cash equivalents were $63.2 million at March 31, down from $81.5 million at December 31, 2025. Fractyl guided that its cash would fund operations into early 2027, beyond the expected registrational data readout for Revita.

The details

R&D expenses fell to $15.6 million from $19.4 million. Selling, general and administrative expenses were $5.2 million against $5.3 million. Adjusted EBITDA was a loss of $18.0 million, against $23.1 million a year earlier. Working capital fell to $50.5 million from $69.2 million at year end.

The company set out its Revita schedule: one-year REVEAL-1 data in the second quarter, one-year REMAIN-1 midpoint data in the third, six-month registrational topline data in early fourth quarter, and a potential De Novo marketing application in late fourth quarter 2026. For RJVA-001, its gene therapy for type 2 diabetes, it expected first dosing and preliminary data in the second half of 2026.

"We believe Revita has the potential to offer a transformational new approach to durable weight maintenance," said CEO Harith Rajagopalan, in the release.

Context

In January, Fractyl had listed a potential PMA filing for Revita in the second half of 2026. By May it described a De Novo application, a pathway for novel lower-risk devices. The January update also said exercises of Tranche A warrants from an August 2025 financing had brought in $23.0 million in gross proceeds.

Warrant liabilities are marked to market, so a falling share price produces an accounting gain. According to BiopharmaWatch, GUTS closed at $2.25 on January 2, 2026. The day before the June 4 REVEAL-1 update it closed at $0.76.

What it means for investors

The headline profit says little about the business. The operating loss of $20.8 million and the $18.3 million fall in cash are the numbers to track. Adjusted EBITDA, which strips out the warrant gain, was still a loss of $18.0 million. At that pace, $63.2 million lasts a little more than three quarters, which fits the early-2027 guidance.

That runway ended before any FDA decision. It meant Fractyl would reach its registrational data with little cash left and would need new funding to get Revita to market.

Fractyl was also building its commercial team. In June it hired Mike Zumdahl, who led market access at Inari Medical, to run market access and commercial strategy.

The company later cut costs. On October 22 it announced a 45% workforce reduction, dropped internal work on Rejuva and pushed its runway into the second quarter of 2027.

What to watch

The De Novo submission is planned for late fourth quarter 2026, and 12-month registrational data are due in the first quarter of 2027.
