On May 28, 2026, FOXO Technologies Inc. (OTC: FOXO) and LongevityFP Technologies, LLC announced a strategic partnership to commercialize FOXO's epigenetics technology. The arrangement is an exclusive license. FOXO will license its epigenetics-related technology, including its two patents and related intellectual property, to LongevityFP. The release says the agreement also resolves all prior matters between the two parties.
The terms
LongevityFP will pay FOXO a royalty of three percent of its net revenues, subject to an aggregate cap of $1.3 million. LongevityFP has also been granted an option, exercisable within ten (10) years, to acquire majority ownership of FOXO Labs, Inc. According to the release, FOXO Labs owns substantially all of the company's epigenetics-related intellectual property, including its two issued patents, pending applications, proprietary datasets and models. If the option is exercised, FOXO would receive a 40% equity interest in the resulting epigenetics enterprise, as the agreement defines it.
LongevityFP is owned and operated by Jon R. Sabes. The release describes him as the named inventor on the platform's core patents and the original architect of FOXO's epigenetics underwriting platform. He founded FOXO's predecessor entity and served as the company's chief executive officer through 2022. In his statement, he says he is the named inventor and co-creator on U.S. Patent Nos. 11,795,495 and 11,817,214.
Why the companies describe the deal this way
Seamus Lagan, FOXO's chief executive officer, said: "We are excited to join forces with former FOXO CEO, Jon Sabes." Lagan added that the technology "has not been commercialized over the last few years under the FOXO Technologies Inc. corporate structure," and that the agreement returns it to its founder.
FOXO lists four benefits for itself: a revitalized effort to commercialize the technology, a royalty stream from LongevityFP, upside through the 40% equity interest, and the ability for senior management to focus on its core healthcare services operations. The release lists LongevityFP's benefits as reuniting the platform with its inventor, commercializing a validated and patented technology with advanced artificial intelligence, and holding exclusive worldwide rights. The release offers no evidence behind the word validated. This is a deal with a former chief executive, it pays FOXO at most $1.3 million, and LongevityFP pays nothing upfront that the release mentions.
Sabes says in the release that epigenetics could replace the invasive blood and urine specimen collection that life insurers still require for permanent life insurance underwriting. He cites advances in artificial intelligence and new research on DNA methylation.
The company and its finances
The release says FOXO owns and operates four subsidiaries. Rennova Community Health, Inc. owns and operates Scott County Community Hospital, Inc., doing business as Big South Fork Medical Center, a critical access designated hospital in East Tennessee. Myrtle Recovery Centers, Inc. runs a 30-bed behavioral health facility in East Tennessee that offers inpatient, residential and outpatient services. Vector BioSource, Inc. sources information, data and biospecimens for the biotechnology, clinical research and pharmaceutical research industries. FOXO Labs, Inc. describes itself as a biotechnology company dedicated to improving human health and life span.
The financial figures below come from FOXO's annual report on Form 10-K, filed April 15, 2026. For fiscal 2025, FOXO reported revenue of $16.4 million, compared with $4.1 million for 2024. The company reported a net loss of $12.4 million for 2025 and the same figure for 2024. Cash used in operations was $3.9 million in 2025 and $2.8 million in 2024. Year-end cash and cash equivalents were $68,268 at the end of 2024. The release does not give a current cash balance or a cash runway estimate.
What comes next
FOXO says it will file a Current Report on Form 8-K with the Securities and Exchange Commission that contains more detail on the partnership and the license agreement. The release sets no closing date for the license and gives no timeline for commercial launch. By Lagan's own account the technology has not been commercialized in recent years, and FOXO may end up with 40% of an enterprise that has no revenue yet. It refers readers to the risk factors in FOXO's most recent Form 10-K and Form 10-Q filings.
